ACEPTACIÓN DE LOS TÉRMINOS Y CONDICIONES

Los términos y condiciones que se presentan a continuación, según sean modificados de tiempo en tiempo (los “Términos y Condiciones”) regulan el acceso, navegación y uso, desde cualquier lugar del Territorio, de las Soluciones Digitales y Servicios Auxiliares prestadas por Ecosistemas Digitales bajo la modalidad Software as a Service -SaaS-.

Al ingresar, navegar y utilizar las Soluciones Digitales, así como los Servicios Auxiliares conforme al Contrato de Prestación de Servicios, usted declara que tiene la mayoría de edad y capacidad jurídica para contratar y obligarse, y además acepta haber leído cuidadosamente, entendido y estar de acuerdo con estos Términos y Condiciones, los cuales constituyen un documento legalmente vinculante entre usted y Ecosistemas Digitales.

El acceso y uso de las Soluciones Digitales implica su aceptación de los presentes Términos y Condiciones y, por lo tanto, el compromiso con su debido cumplimiento. Si usted no acepta los Términos y Condiciones, no podrá acceder a las Soluciones Digitales ni a los Servicios Auxiliares.

Ecosistemas Digitales podrá terminar en cualquier momento estos Términos y Condiciones, dejar de ofrecer las Soluciones o impedir el acceso y uso de éstas, anunciándolo a usted con una antelación de 30 días calendario a través de los canales de comunicación establecidos. Asimismo, Ecosistemas Digitales podrá suspender o terminar, de inmediato y sin previo aviso, su acceso a las Soluciones en caso de detectar el incumplimiento a los presentes Términos y Condiciones. Todo lo anterior, de acuerdo con el Contrato de Prestación de Servicios.

DECLARACIONES Y AUTORIZACIONES

1.      DECLARACIONES:

Al generar o recibir su usuario y contraseña para acceder a las Soluciones Digitales contratadas, además de aceptar y comprometerse al cumplimiento de estos Términos y Condiciones, usted declara que:

• Cuenta con la capacidad legal para adherirse a estos Términos y Condiciones, actuando en nombre propio o representado por alguna persona capaz.
• Estos Términos y Condiciones contienen obligaciones vinculantes para usted y Ecosistemas Digitales y, por lo tanto, puede exigirse su cumplimiento.
• Ha conocido, entendido y acepta la Política de Tratamiento de Datos Personales.
• Los ingresos y bienes que posee no provienen de ninguna actividad ilícita de las contempladas en el Código Penal Colombiano. En consecuencia, declara que los ingresos o bienes están ligados al desarrollo normal de actividades lícitas propias de la ocupación u objeto social
• Que la información que suministró a ECOSISTEMAS DIGITALES es veraz y verificable, y se obliga a actualizarla anualmente o en un tiempo menor conforme a los procedimientos que para tal efecto tenga establecido ECOSISTEMAS DIGITALES S.A.S.
• Que todos los Usuarios o personas autorizadas para efectuar operaciones cuentan y/o se les otorga mediante el presente documento las facultades necesarias para realizar entre otros, los siguientes actos, operaciones o transacciones: administración y solicitud de productos o servicios, preparación de pagos, inscripción de pagos, ordenar débitos a cuentas de depósitos de entidades financieras con las que EDN tenga alianzas, consultar información sobre pagos realizados, bloquearlos y, los demás servicios habilitados por EDN.

2.      AUTORIZACIONES:

Al generar o recibir su usuario y contraseña para acceder a las Soluciones Digitales contratadas, además de aceptar y comprometerse al cumplimiento de estos Términos y Condiciones, usted Autoriza de manera previa, expresa, informada e inequívoca a EDN para que:

• Cuente con las facultades para acceder y administrar los productos y/o servicios que se detallan en el presente documento de los cuales es titular, con la finalidad de:

1. a) consultarlos; b) modificarlos; c) realizar transacciones monetarias y no monetarias; d) aceptar los términos y condiciones y/o firmar la documentación asociada a dichos productos y/o servicios; e) analizar y compartir con sus aliados comerciales, los datos consignados y que viajen a través de las soluciones contratadas y en los documentos generados por el CLIENTE y/o usuario; entiéndase datos los siguientes pero sin limitarse : a): números, siglas, valores, nombres, información comercial, responsabilidades tributarias, transacciones etc, sin perjuicio de lo dispuesto en la política de tratamiento de datos personales; f) Adicionalmente declara, que conoce la responsabilidad que conlleva esta autorización, que la misma puede ser revocada y/o actualizada en cualquier momento y que la información y los datos que se conozcan a través de este canal no están sometidos a reserva bancaria o gozan de confidencialidad en virtud de esta autorización.

2. Verifique antecedentes de las personas relacionadas en el proceso de vinculación y/o en el proceso de darse de alta en las plataformas y sus soportes, en las listas vinculantes para Colombia, la lista emitida por la Oficina de Activos Extranjeros del Departamento del Tesoro de los Estados Unidos de América (lista OFAC) y en aquellas otras listas o bases de datos públicas o privadas donde se relacionen personas presuntamente vinculadas a cualquier actividad relacionada con LA/FT.

TRATAMIENTO DE DATOS PERSONALES

Mediante la aceptación de estos términos y condiciones, EL CLIENTE, autoriza de forma expresa, previa e inequívoca a ECOSISTEMAS DIGITALES para que el realice tratamiento a sus datos personales, de forma directa o a través de terceros conforme a lo consignado en la política de tratamiento de datos; misma que puede ser consultada en la siguiente URL: https://edncolombia.com/politica-de-tratamiento-de-los-datos-personales-2/

MODIFICACIÓN de los Términos y Condiciones

Los presentes Términos y Condiciones sustituyen cualquier otro acuerdo verbal o escrito -diferente al Contrato de Prestación de Servicios y sus anexos- que regule el acceso y uso de las Soluciones Digitales. Ecosistemas Digitales anunciará a través de mensajes dentro de las Soluciones o al correo electrónico registrado por el Usuario todo cambio, modificación, adición o eliminación total o parcial de los Términos y Condiciones, los cuales se harán efectivos inmediatamente se hagan públicos a través de las Soluciones Digitales. Para continuar usando las Soluciones Digitales, usted deberá aceptar la nueva versión de los Términos y Condiciones.

Usted se compromete a consultar regularmente en las plataformas de las Soluciones Digitales la existencia de cambios a los Términos y Condiciones. Si usted no acepta cumplir estos o los futuros Términos y Condiciones, deberá abstenerse de utilizar o acceder a las Soluciones Digitales.

DEFINICIONES

Para los efectos de estos Términos y Condiciones, cuando los términos aparezcan con su letra inicial en mayúscula tendrán los significados que se señalan a continuación, excepto que se indique lo contrario. Cada término definido comprenderá indistintamente el plural o el singular y los dos géneros:

API: es un conjunto de funciones y procedimiento que permiten el acceso a una plataforma o aplicación móvil (Application Programming Interfase)

Aplicaciones Móviles: significan las aplicaciones desarrolladas que se ejecutarán a través de dispositivos móviles para acceder a determinadas Soluciones Digitales, y que podrán ser descargadas a través de las tiendas de aplicaciones móviles como App Store y Google Play.

Centro de Ayuda: documentación electrónica de funcionalidades y herramientas de las Soluciones Digitales disponible para el Usuario en la Plataforma.

Certificado Digital: significa el mensaje de datos o registro que confirma el vínculo entre un firmante y su clave privada.

Certificado de Confianza: significa una huella digital electrónica y un mecanismo informático mediante el cual se obtiene la conservación integra de la información de un mensaje de datos y se permite certificar que un mensaje de datos efectivamente existió en una fecha y hora determinada.

Clave Pública: significa el Certificado Digital público del firmante que se verifica a través de internet para comprobar al autenticidad y vigencia.

Clave Privada: significa el certificado privado del firmante que se utiliza para cifrar un mensaje de datos.

Cliente: significa la persona natural o jurídica que tenga contratado con Ecosistemas Digitales una o varias Soluciones Digitales y Servicios Auxiliares mediante el Contrato de Prestación de Servicios que debe ser firmado previamente a la aceptación de estos Términos y Condiciones.

Conector: significa el software de propiedad de Interfactura que se instala en los equipos del Cliente para habilitar un medio de comunicación electrónica bilateral, que permite el envío y retorno de archivos a Ecosistemas Digitales para su timbrado fiscal de una manera segura, gracias a certificados de conexión. Una vez timbrados, Ecosistemas Digitales regresa dichos documentos con validez fiscal, a través del mismo medio al Cliente.

Contrato de Prestación de Servicios: significa el contrato que celebra el Cliente con Ecosistemas Digitales para regular los términos y condiciones comerciales y legales para la prestación y uso de las Soluciones Digitales y los Servicios Auxiliares, incluyendo en caso de aplicar, las Órdenes de Servicio anexas al mismo.

Datos Personales: significa cualquier información vinculada o que pueda asociarse a una o varias personas naturales determinadas o determinables (nombre, apellidos, tipo y número de identificación, número celular, dirección de residencia, profesión, entre otros).

DIAN: significa la Dirección de Impuestos y Aduanas Nacionales de Colombia, o cualquier entidad que la reemplace o que ejerza actividades similares.

Ecosistemas Digitales o EDN: significa Ecosistemas Digitales S.A.S., sociedad comercial constituida bajo la legislación colombiana, domiciliada en la ciudad de Medellín e identificada con NIT 901.380.553-9; debidamente autorizada por Interfactura para distribuir las Soluciones Digitales y Servicios Auxiliares en el Territorio.

Factura Electrónica: significa el documento que soporta transacciones de venta de bienes y/o servicios y que operativamente tiene lugar a través de sistemas computacionales y/o soluciones informáticas que permiten el cumplimiento de las características y condiciones establecidas en las normas vigentes en relación con la expedición, recibo, rechazo y conservación. La expedición de la factura electrónica comprende la generación por el obligado a facturar y su entrega al adquirente.

Firma Electrónica: significa el conjunto de métodos tales como códigos, contraseñas, datos biométricos, o claves criptográficas privadas, que permite identificar a una persona, en relación con un mensaje de datos, siempre y cuando el mismo sea confiable y apropiado respecto de los fines para los que se utiliza la firma, atendidas todas las circunstancias del caso, así como cualquier acuerdo pertinente.

Habeas Data: significa el derecho que tienen todas las personas a i) conocer qué información sobre ellas es recogida en bases de datos; ii) actualizar la información personal que hayan recolectado otros, y a complementarla; iii) rectificar la información que tengan otras personas para que concuerde con la realidad; y iv) a solicitar la exclusión de su información personal de bases de datos.

Interfactura: significa Interfactura, S.A.P.I. de C.V., sociedad constituida de conformidad con las leyes de los Estados Unidos Mexicanos e identificada con registro federal de contribuyentes número INT-020124-V64.

Invitado o Usuario: significa la persona natural o jurídica que no es Cliente pero que accede a las Soluciones Digitales en calidad de invitación a colaborar realizada por el Cliente, con un usuario destinado única y exclusivamente para el mismo o que accede a las Soluciones Digitales por medio de un distribuidor autorizado, según lo que el Cliente o Distribuidor haya pactado con Ecosistemas Digitales en el Contrato de Prestación de Servicios.

Pagaré Electrónico: significa un título valor de contenido crediticio, creado en forma electrónica en virtud de la ley 527 de 1999, que contiene una promesa incondicional de pagar una suma de dinero por parte de quien lo emite o suscribe en favor de determinada persona, en un determinado tiempo, y cuya circulación se realiza mediante la anotación en cuenta.

Plataforma: significa la plataforma web o desarrollada por Interfactura, licenciada y comercializada por Ecosistemas Digitales. La Plataforma permite al Usuario acceder a las Soluciones Digitales en la modalidad de Software as a Service -SaaS-

Política de Protección de Datos Personales: significa la política de protección de datos personales de Ecosistemas Digitales, que puede ser consultada en la siguiente URL: https://edncolombia.com/politica-de-tratamiento-de-los-datos-personales-2/

Servicios Auxiliares: significa el conjunto de servicios complementarios ofrecidos por Ecosistemas Digitales como parte del servicio de las Soluciones Digitales que contrata el Cliente, o como un servicio accesorio a las Soluciones Digitales. La contratación de los Servicios Auxiliares se rige por lo dispuesto en el Contrato de Prestación de Servicios, y pueden incluir: soporte, acuerdos de nivel de servicio, implementación, delivery, BPaaS (Business Process as a Service), consultoría, según se definen en el Contrato de Prestación de Servicios.

Soluciones Digitales: significa las soluciones desarrolladas por Interfactura, licenciadas y distribuidas por Ecosistemas Digitales en el Territorio, las cuales pueden ser accedidas por el Usuario a través de las Plataformas, en virtud del Contrato de Prestación de Servicios celebrado entre el Cliente y Ecosistemas Digitales. Las Soluciones Digitales que podrá ofrecer Ecosistemas Digitales son: Dito, Solución CDC, Solución CDP, Solución Cumplimiento, Solución Analytics, Solución Financials, según se describen en estos Términos y Condiciones.

Territorio: significa la República de Colombia.

Transmisión: significa el envío electrónico del Cliente a Ecosistemas Digitales de Facturas Electrónicas y/o documentos, emitidos por sus propios medios o un tercero, para que Ecosistemas Digitales, a través de sus medios electrónicos, haga llegar dichos archivos al destino específico que haya contratado el Cliente.

Web Service: significa el mecanismo que proporciona un medio de transporte para enviar documentos a Ecosistemas Digitales de manera segura y con respuesta en segundos.

¿QUÉ OFRECE ECOSISTEMAS DIGITALES?

Ecosistemas Digitales ofrece a los Usuarios ubicados en el Territorio la posibilidad de acceder a las Soluciones Digitales y Servicios Auxiliares, conforme a los lineamientos establecidos en estos Términos y Condiciones y los acuerdos contenidos en el Contrato de Prestación de Servicios y sus Anexos.

El acceso a las Soluciones Digitales contratadas se realizará a través de las Plataformas dispuestas por Ecosistemas Digitales.

¿CUÁLES SON LAS SOLUCIONES DIGITALES OFRECIDAS?

Ecosistemas Digitales ofrece al Usuario la posibilidad de acceder a las siguientes Soluciones Digitales:

1.      Dito

Dito es una Solución Digital la cual estará disponible en el momento que así se notifique a los Clientes y/o Usuarios, que ofrece funcionalidades para crear y tener acceso a catálogos de clientes, productos, sucursales, perfiles y roles, estado de cuenta, entre otros; así como para emitir, anular y consultar Facturas Electrónicas, capturar pagos recibidos y reportes de ingresos, enviar documentos por correo electrónico desde la Plataforma y/o  Aplicación, validar y consultar documentos recibidos por correo electrónico, integrar adendas (nodo que puede ser anexado de forma opcional a las Facturas Electrónicas con información adicional a la factura) y tener acceso a colaboración electrónica con grandes empresas a través de la Transmisión de Factura Electrónica  y/o documentos.

Dito cuenta con funcionalidades clasificadas por su orientación hacia la colaboración con clientes y hacia la colaboración con proveedores como se detalla a continuación. De acuerdo con la contratación de dicha solución entre Ecosistemas Digitales y el Cliente, el acceso a las funcionalidades se podrá otorgar a invitados/Usuarios a través de un Conector para colaborar con el alcance correspondiente en el ecosistema digital habilitado.

El Cliente/Usuario puede encontrar más información acerca de las funcionalidades de la Dito en el Centro de Ayuda.

El Cliente que adquiera Dito manifiesta su conocimiento y autoriza que Ecosistemas Digitales directamente, o a través de un tercero debidamente habilitado por la DIAN como proveedor tecnológico, pueda realizar lo siguiente:

1. Entregar a la DIAN copia de las retenciones, demás comprobantes fiscales y cualquier otra información necesaria para cumplir las obligaciones como proveedor tecnológico, así como las obligaciones de generación de documentos soporte de adquisiciones, emisión de documento soporte del pago de nómina electrónica, de registro de eventos ante RADIAN, y cualquiera otra relacionada que se llegaré a desarrollar por parte de la DIAN, bajo la ley aplicable.
2. Realizar consultas y trámites en el portal de internet de la DIAN sobre el cumplimiento de obligaciones fiscales relacionadas con la Facturación Electrónica, emisión de documentos soporte del pago de nómina electrónica, de registro de eventos ante RADIAN, y cualquiera otra relacionada que se llegaré a desarrollar por parte de la DIAN, bajo la ley aplicable.
3. Realizar consultas y trámites en el portal de internet de la DIAN para el acceso del Cliente a sus facturas emitidas y recibidas, al documento soporte del pago de nómina electrónica, a los eventos registrados ante RADIAN, y cualquiera otra relacionada que se llegaré a desarrollar por parte de la DIAN.
4. Realizar los trámites, actos y procesos que sean necesarios en la Solución Digital, a fin de dar cumplimiento con las disposiciones aplicables de la Ley 1762 de 2015, y las normas que la modifiquen, así como la Circular Básica Jurídica (Circular Externa No. 100-000005 del 22 de noviembre de 2017) y la Circular 100-000016 de 24 de diciembre de 2020 de la Superintendencia de Sociedades, y las demás normas relevantes para la prevención de lavado de activos, financiación al terrorismo y evasión fiscal.
5. Otorgar el servicio de auto emisión de factura o similares, intereses, planes de pago y documentos generados como resultado de la relación comercial entre el Cliente y sus proveedores de bienes y/o servicios.

El Cliente que seleccione activar las notificaciones a una central de información crediticia, acepta y reconoce que se notificarán todos los créditos de sus deudores. El Cliente podrá revocar dicha autorización en cualquier momento, siempre que no exista una obligación legal o contractual que se lo impida. El Cliente deberá contar con las autorizaciones necesarias para realizar estas consultas y/o reportes, según lo estipulado en la Ley Estatutaria 1581 de 2012, siendo el único responsable de obtener y conservar prueba de la autorización.

En concordancia con la ley aplicable, el Cliente, en calidad de obligado a Facturar Electrónicamente, a emitir documento de pago de nómina electrónica y/o a realizar el registro de eventos en RADIAN, es el único responsable ante la DIAN por las obligaciones que como tal le corresponden.

2.      Solución CDC (Colaboración Digital con Clientes)

Colaboración Digital con Clientes -CDC- es una Solución Digital disponible a través de lo sitio www.https://platform.cdc.origon.cloud/login, es una solución integral para la emisión, validación y gestión de documentos electrónicos exigidos por la DIAN, conforme a las resoluciones vigentes y sus respectivos anexos técnicos garantizando  el cumplimiento normativo, la trazabilidad de la información y la eficiencia operativa en los procesos de facturación y soporte documental. CDC ofrece un conjunto de herramientas y funcionalidades para administrar los procesos de negocio relacionados con el flujo de ingresos del Cliente, emisión de Factura Electrónica, nómina electrónica, Documento Soporte en Adquisiciones, Documentos Equivalentes Electrónicos, emisión de eventos asociados a la factura y todo el proceso de Factoring. Adicionalmente proporciona medios de pagos que facilitan el recaudo de cartera. 

El acceso a las funcionalidades de la Solución CDC se otorgará al Cliente y/o Usuarios conforme al alcance establecido en el Contrato de Prestación de Servicios suscrito entre Ecosistemas Digitales y el Cliente.

El Cliente que adquiera la Solución CDC manifiesta su conocimiento y autoriza que Ecosistemas Digitales que se encuentra debidamente habilitado por la DIAN como proveedor tecnológico, pueda realizar lo siguiente:

1. Entregar a la DIAN comprobantes fiscales y cualquier otra información necesaria para cumplir las obligaciones como proveedor tecnológico, así como las obligaciones de generación de Facturas Electrónicas, Documentos Soporte de Adquisiciones, emisión de Documento Soporte del pago de Nómina Electrónica, Documentos Equivalentes Electrónicos, de registro de Eventos ante RADIAN, y cualquiera otra relacionada que se llegaré a desarrollar por parte de la DIAN, bajo la ley aplicable.
2. Realizar consultas y trámites en el portal de internet de DIAN sobre el cumplimiento de obligaciones fiscales relacionadas con emisión de la Facturas Electrónicas, Documentos Soporte de Adquisiciones, emisión de Documento Soporte del pago de Nómina Electrónica, Documentos Equivalentes Electrónicos, de registro de Eventos ante RADIAN, y cualquiera otra relacionada que se llegaré a desarrollar por parte de la DIAN, bajo la ley aplicable.
3. Realizar consultas y trámites en el portal de internet de la DIAN para el acceso del cliente a sus Facturas electrónicas emitidas y recibidas, a los Documentos Soporte de Adquisiciones, emisión de Documento Soporte del pago de Nómina Electrónica, Documentos Equivalentes Electrónicos, de registro de Eventos ante RADIAN, y cualquiera otra relacionada que se llegaré a desarrollar por parte de la DIAN.
4. Realizar los trámites, actos y procesos que sean necesarios en la Solución Digital, a fin de dar cumplimiento con las disposiciones aplicables de la ley 1762 de 2015, Circular Básica Jurídica (Circular Externa No. 100-000005 del 22 de noviembre de 2017), Circular 100-000016 de 24 de diciembre de 2020 y demás que la modifiquen, así como las demás relevantes para la prevención de lavado de activos, financiación al terrorismo y evasión fiscal.
5. Otorgar el servicio de auto emisión de factura o similares y documentos generados como resultado de la relación comercial entre el Cliente y sus proveedores de bienes y/o servicios.

El Cliente que seleccione activar las notificaciones a una central de información crediticia, acepta y reconoce que se notificarán todos los créditos de sus deudores. El Cliente podrá revocar dicha autorización en cualquier momento, siempre que no exista una obligación legal o contractual que se lo impida. El Cliente deberá contar con las autorizaciones necesarias para realizar estas consultas y/o reportes, según lo estipulado en la Ley Estatutaria 1581 de 2012, siendo el único responsable de obtener y conservar prueba de la autorización.

En concordancia con la ley aplicable, el Cliente, en calidad de obligado a emitir Facturar Electrónica, a emitir Documento Electrónico Equivalente, a emitir Documento de pago de Nómina Electrónica, a emitir Documentos Soporte de Adquisiciones, a emitir y/o a realizar el registro de eventos en RADIAN, es el responsable ante la DIAN por las obligaciones que como tal le corresponden.

3.      Solución CDP (Colaboración Digital con Proveedores)

Colaboración Digital con Proveedores -CDP- es una Solución Digital que cuenta con conectividad vía API. Esta Solución Digital ofrece un conjunto de herramientas y funcionalidades para administrar los procesos de negocio relacionados con el flujo de egresos del Cliente. Adicionalmente proporciona integración con instituciones financieras y/o bancos y medios de pagos. También ofrece verificación de proveedores e integración con sistemas de financiamiento para facilitar a el acceso a crédito.

El acceso a las funcionalidades de la Solución CDP se otorgará al Cliente y/o Usuario conforme al alcance establecido en el Contrato de Prestación de Servicios suscrito entre Ecosistemas Digitales y el Cliente.

El Cliente que adquiera la Solución CDP manifiesta su conocimiento y autoriza que Ecosistemas Digitales directamente o a través de un tercero debidamente habilitado por la DIAN, pueda realizar lo siguiente:

1. Entregar a la DIAN comprobantes fiscales y cualquier otra información necesaria para cumplir las obligaciones como proveedor tecnológico, así como las obligaciones de generación de Facturas Electrónicas, Documentos Soporte de Adquisiciones, emisión de Documento Soporte del pago de Nómina Electrónica, Documentos Equivalentes Electrónicos, de registro de Eventos ante RADIAN, y cualquiera otra relacionada que se llegaré a desarrollar por parte de la DIAN, bajo la ley aplicable.
2. Realizar consultas y trámites en el portal de internet de DIAN sobre el cumplimiento de obligaciones fiscales relacionadas con emisión de la Facturas Electrónicas, Documentos Soporte de Adquisiciones, emisión de Documento Soporte del pago de Nómina Electrónica, Documentos Equivalentes Electrónicos, de registro de Eventos ante RADIAN, y cualquiera otra relacionada que se llegaré a desarrollar por parte de la DIAN, bajo la ley aplicable.
3. Realizar consultas y trámites en el portal de internet de la DIAN para el acceso del cliente a sus Facturas electrónicas emitidas y recibidas, a los Documentos Soporte de Adquisiciones, emisión de Documento Soporte del pago de Nómina Electrónica, Documentos Equivalentes Electrónicos, de registro de Eventos ante RADIAN, y cualquiera otra relacionada que se llegaré a desarrollar por parte de la DIAN.
4. Realizar los trámites, actos y procesos que sean necesarios en la Solución Digital, a fin de dar cumplimiento con las disposiciones aplicables de la ley 1762 de 2015, Circular Básica Jurídica (Circular Externa No. 100-000005 del 22 de noviembre de 2017), Circular 100-000016 de 24 de diciembre de 2020 y demás que la modifiquen, así como las demás relevantes para la prevención de lavado de activos, financiación al terrorismo y evasión fiscal.
5. Otorgar el servicio de auto emisión de factura o similares y documentos generados como resultado de la relación comercial entre el Cliente y sus proveedores de bienes y/o servicios.

El Cliente que seleccione activar las notificaciones a una central de información crediticia, acepta y reconoce que se notificarán todos los créditos de sus deudores. El Cliente podrá revocar dicha autorización en cualquier momento, siempre que no exista una obligación legal o contractual que se lo impida. El Cliente deberá contar con las autorizaciones necesarias para realizar estas consultas y/o reportes, según lo estipulado en la Ley Estatutaria 1581 de 2012, siendo el único responsable de obtener y conservar prueba de la autorización.

En concordancia con la ley aplicable, el Cliente, en calidad de obligado a emitir Facturar Electrónica, a emitir Documento Electrónico Equivalente, a emitir Documento de pago de Nómina Electrónica, a emitir Documentos Soporte de Adquisiciones, a emitir y/o a realizar el registro de eventos en RADIAN, es el responsable ante la DIAN por las obligaciones que como tal le corresponde.

4.      Solución Cumplimiento

La Solución Digital Cumplimiento cuenta con conectividad a través de API y ofrece servicios de certificación de Factura Electrónicas, así como validaciones en línea en alto volumen y servicios a través de los cuales se compilan las facturas emitidas y recibidas disponibles en la plataforma de facturación electrónica aplicable y el portal de internet de la DIAN.

A través de la Solución Cumplimiento se procesan, reciben, traducen, rastrean, reportan y certifican en formatos estándar las Facturas Electrónicas con base en la normatividad vigente y se retornan las mismas a la Plataforma a través de conector, API y/o Web service, en los formatos definidos en la ley.

El acceso a las funcionalidades de la Solución Cumplimiento se otorgará al Cliente conforme al alcance establecido en el Contrato de Prestación de Servicios suscrito entre Ecosistemas Digitales y el Cliente.

5.      Solución Analytics

La Solución Digital Analytics cuenta con conectividad a través de API y ofrece servicios de paneles de control e indicadores de desempeño que ordenan, clasifican y resumen la visualización de información auxiliando la toma de decisiones del Cliente a través de modelos descriptivos, prescriptivos y predictivos.

A través de la Solución Analytics se extrae y expresa al Cliente información de su colaboración con clientes y proveedores, así como del comportamiento de ciclos O2C (Order to cash) y P2P (Procurement to Pay). El acceso a las funcionalidades de la Solución Anlytics se otorgará al Cliente conforme al alcance establecido en el Contrato de Prestación de Servicios suscrito entre Ecosistemas Digitales y el Cliente.

6.      Solución Financials

La Solución Digital Financials cuenta con conectividad a través de API. Esta Solución Digital ofrece paneles de control e indicadores de desempeño que permiten a todas las instituciones de servicios financieros administrar a través de medios electrónicos cartera(s) de crédito(s). La Solución Financials también ofrece medios de pago remotos.

El acceso a las funcionalidades de la Solución Financials se otorgará al Cliente conforme al alcance establecido en el Contrato de Prestación de Servicios suscrito entre Ecosistemas Digitales y el Cliente.

¿CÓMO ACCEDER A LAS SOLUCIONES DIGITALES?

Para acceder a las Soluciones Digitales ofrecidas por Ecosistemas Digitales, debe adelantarse el siguiente proceso:

1. El Cliente deberá, mediante cualquier mecanismo de firma electrónica, aceptar el Contrato de Prestación de Servicios, el cual contendrá los aspectos legales de la contratación de las Soluciones Digitales seleccionadas por el Cliente. En dicho acuerdo se podrán incorporar a los Invitados o Usuarios que el Cliente seleccione como colaboradores en las Soluciones Digitales.
2. Ecosistemas Digitales implementará las Soluciones Digitales y capacitará al Cliente, en las Soluciones que aplique la capacitación, en el acceso y uso de estas de acuerdo con lo establecido en la o las órdenes de compra, y luego el Cliente recibirá o generará el usuario y contraseña que le permitirá acceder y completar el registro en la Plataforma de las Soluciones Digitales contratadas.
3. El Cliente ingresará a la Plataforma de la Solución Digital contratada a través del mecanismo de firma electrónica, proporcionando los Datos Personales allí solicitados.
4. Para ingresar a la Plataforma de la Solución Digital contratada, el Cliente y/o Usuario deberá aceptar los presentes Términos y Condiciones y autorizar a Ecosistemas Digitales el tratamiento de los Datos Personales que sean solicitados en el proceso de registro en la Plataforma. La recolección y uso de los Datos Personales se llevará a cabo de acuerdo con lo informado en la respectiva autorización, así como la Política de Protección de Datos de Ecosistemas Digitales, que puede ser consultada en la siguiente URL: https://edncolombia.com/politica-de-tratamiento-de-los-datos-personales-2/.
5. Todos los Datos Personales proporcionados podrán ser modificados o actualizados en cualquier momento a través de la Plataforma.
6. Luego de completar el registro en la Plataforma, el Cliente y/o Usuario podrá utilizar la Solución Digital de acuerdo con las condiciones de uso establecidas en estos Términos y Condiciones, el Contrato de Prestación de Servicios, o cualquier documento anexo.

COMPROMISOS DE LAS PARTES

Compromisos del Cliente y/o Usuario:

Al ingresar a las Plataformas y hacer uso de las Soluciones Digitales, usted, en calidad de Cliente o de Invitado/usuario, se compromete a cumplir con los siguientes compromisos según le apliquen, los cuales permitirán asegurar un adecuado funcionamiento de las Plataformas y las Soluciones Digitales, así como mejorar la experiencia de Usuario de estas:

1. Informarse adecuadamente acerca de las funcionalidades y condiciones de uso de las Soluciones Digitales que va a adquirir a través Contrato de Prestación de Servicios y realizar las capacitaciones pertinentes para el uso de estas.
2. Seguir atentamente las instrucciones de uso de la Solución Digital Contratada, incluyendo leer, entender y aceptar estos Términos y Condiciones, así como las declaraciones aquí contenidas.
3. Disponer de los equipos y programas adecuados que le permitan utilizar las Soluciones Digitales contratadas.
4. Entregar información completa, real y actualizada, cuando sea solicitada por Ecosistemas Digitales.
5. No ceder o transferir su cuenta de usuario a otra persona o entidad, así como abstenerse de falsificar la identidad haciéndose pasar por otra persona.
6. Mantener en forma confidencial y segura cualquier información relacionada con las credenciales de acceso a la Plataforma (usuario y contraseña), absteniéndose de revelar tales datos a terceros, o permitiendo a terceros usar dicha información. Usted acepta hacerse responsable de cualquier uso dado a sus credenciales de acceso a la Plataforma de la Solución Digital contratada, así como de cualquier acción realizada usando tales datos, y de informar a Ecosistemas Digitales inmediatamente cualquier brecha de seguridad o uso no autorizado de su cuenta que detecte.
7. Abstenerse de usar la Plataforma o las Soluciones Digitales para realizar actividades ilegales o contrarias al orden público, incluyendo sin limitación, el envío de comunicaciones ofensivas, injuriosas o que suponen una amenaza; el acceso ilícito a sistemas informáticos de terceros; la difusión de virus informáticos o software destinado a causar daños u obtener datos de sistemas informáticos; el ocultamiento o cambio de apariencia al origen de recursos o dineros.
8. Las cuentas de usuario entregadas al Cliente y/o Usuario o generados por el mismo, están destinadas para su uso personal. Por lo tanto, no está permitido la entrega a terceros de las credenciales de acceso a las Plataformas, ni que se revenda, utilice, copie, monitoree, baje o reproduzca el contenido de la Plataforma o de las Soluciones Digitales.
9. Abstenerse de remover, modificar o alterar cualquier contenido de la Plataforma o las Soluciones Digitales protegido por la propiedad intelectual.
10. Abstenerse de utilizar las Soluciones Digitales de manera que pueda verse afectada la funcionalidad de estas, o la capacidad de otros Clientes y/o usuarios para utilizarlas.
11. Informar inmediatamente a Ecosistemas Digitales de cualquier anomalía que identifique y considere puede poner en riesgo el funcionamiento de las Soluciones Digitales.
12. Conocer y aceptar los términos y condiciones, así como las políticas de tratamiento de datos personales o habeas data de las demás plataformas de propiedad de terceros que se utilicen para acceder a las Soluciones Digitales.

El incumplimiento de cualquiera de los compromisos descritos anteriormente o en cualquier otra sección de estos Términos y Condiciones hará responsable al Cliente y/o Usuario de los riesgos e implicaciones derivados de tales incumplimientos, sin necesidad de requerimiento judicial alguno o constituciones en mora.

En caso de producirse la terminación total o parcial del Contrato de Prestación de Servicios, Ecosistemas Digitales cerrará el portal creado para el Cliente en la Solución Digital correspondiente, lo cual implica la terminación de estos Términos y Condiciones.

Ecosistemas Digitales podrá en cualquier momento suspender o bloquear definitivamente el acceso al portal creado para el Cliente y/o Usuario en las Soluciones Digitales, cuando encuentre que éste ha incumplido cualquier compromiso de estos Términos y Condiciones, del Contrato de Prestación de Servicios, o que se encuentra utilizando la Plataforma o las Soluciones Digitales de forma dañina para terceros o para Ecosistemas Digitales.

Compromisos de Ecosistemas Digitales:

Ecosistemas Digitales se compromete a:

1. Cumplir con sus obligaciones adquiridas en el Contrato de Prestación de Servicios suscrito con el Cliente.
2. Entregar al Cliente y/o Usuario información completa, clara, suficiente y actualizada con relación a las Soluciones Digitales, su disponibilidad, y su forma de uso.
3. Capacitar al Cliente, en los casos que aplique, en la forma de uso de las Soluciones Digitales contratadas para que este haga un uso adecuado de la misma.
4. Utilizar los Datos Personales del Usuario únicamente para los fines establecidos en la Política de Protección de Datos y la autorización entregada por el Cliente y/o Usuario para el uso de sus Datos Personales.

RESPONSABILIDAD DE ECOSISTEMAS DIGITALES

Ecosistemas Digitales se esforzará para que el acceso a las Plataformas de las Soluciones Digitales sea ininterrumpido y su uso, con los menores errores posibles. De igual forma, buscara ofrecer a los Clientes y/o Usuarios los elementos mínimos que garanticen el correcto funcionamiento de las Soluciones Digitales.

RESPONSABILIDAD DEL CLIENTE Y/O USUARIO

En concordancia con la ley aplicable, el Cliente, en calidad de obligado a facturar electrónicamente, a generar los documentos soporte de adquisiciones, a emitir el documento soporte del pago de nómina electrónica, a realizar el registro de eventos ante RADIAN, y cualquiera otra relacionada que se llegaré a desarrollar por parte de la DIAN, es el responsable ante esta entidad por las obligaciones que como tal le corresponden. Así mismo, el Usuario o Cliente es el único responsable del uso indebido de la Firma Electrónica. De acuerdo con lo anterior, el Usuario o Cliente mantendrá indemne, defenderá, indemnizará y resarcirá a Ecosistemas Digitales, así como a sus respectivos accionistas, directores, funcionarios, empleados, agentes, asesores, representantes y matrices, filiales y subordinadas, respecto de cualquier pérdida, daño, perjuicio, condena, multa, sanción, responsabilidades legales, costos y gastos (incluyendo honorarios de abogados o profesionales, gastos y costos de proceso y cualquier otro gasto legal) que surjan de o estén relacionados con reclamaciones, demandas, pleitos, acciones o procedimientos legales, que sean iniciados por terceras personas con fundamento en el incumplimiento de sus obligaciones.

RESPONSABILIDAD FRENTE A LA PLATAFORMA

La Plataforma está disponible únicamente para uso institucional y no comercial. Por lo tanto, no está permitido revender, realizar deep-links, utilizar, copiar, monitorear, mostrar, descargar o reproducir el contenido, la información, el software, las reservas, las entradas, o la información disponible en la Plataforma para cualquier actividad o fin comercial o competitivo.

La Plataforma es provista en el estado en que se encuentra y como una obligación de medio. Ecosistemas Digitales procurará que la Plataforma funcione adecuadamente para que ésta cumpla con su propósito, pero no garantiza que la misma siempre cumpla con las expectativas del Cliente y/o Usuario, que siempre esté disponible o que funcionen ininterrumpidamente o libre de errores. Debido a que por la naturaleza de la Plataforma su funcionamiento implica el uso de internet, la disponibilidad o accesibilidad continua e ininterrumpida puede verse afectada debido a errores (manifiestos y tipográficos), interrupciones del servidor debido a caídas temporales y/o parciales, o a reparaciones, actualizaciones y mantenimiento de la Plataforma u otros motivos.

Adicionalmente, el acceso a la Plataforma podrá suspenderse o restringirse temporalmente, cuando sea necesario debido a los límites de capacidad, de la seguridad o de la integridad de los servidores, para realizar tareas de reparación, mantenimiento, y actualización que permitan el funcionamiento de la Plataforma, o para la implementación de nuevas herramientas o servicios. Ecosistemas Digitales intentará, en la medida de lo posible, minimizar la frecuencia y la duración de cada una de estas suspensiones y restricciones de acceso y notificará oportunamente al Usuario la programación de interrupciones en la Plataforma.

También podrán ocurrir eventos de fuerza mayor o caso fortuito que impidan su correcto funcionamiento, que generen interrupciones del servicio o fallas en las comunicaciones, o que produzcan la corrupción de archivos o la pérdida o hurto de datos, respecto de los cuales Ecosistemas Digitales no será responsable.

El Cliente y/o Usuario reconoce y acepta que Ecosistemas Digitales no se hace responsable frente a éste por las siguientes situaciones: a) el uso dado a la Plataforma para el acceso y uso de las Soluciones Digitales, directamente o por intermedio de terceros, que no esté conforme a las instrucciones y recomendaciones entregadas por Ecosistemas Digitales; b) inconsistencias o falta de actualización de la información contenida en la Plataforma, la veracidad, certeza y precisión de la información, o la integridad de la información una vez ésta es integrada en estas; c) El funcionamiento ininterrumpido de la Plataforma dispuesta para el acceso a las Soluciones Digitales; d) El uso indebido por parte del Cliente y/o Usuario o del personal encargado a las credenciales de acceso para acceder a la Plataforma.

RESPONSABILIDAD FRENTE A LAS SOLUCIONES DIGITALES

La Plataforma permite al Cliente y/o Usuario utilizar las Soluciones Digitales, poniendo a su disposición los usos específicos de cada Solución Digital y la información relevante para cada una de ellas según se haya contratado. Ecosistemas Digitales no se hace responsable por el contenido de la información o documentos transmitidos por el Cliente y/o Usuario desde o hacia las Soluciones Digitales.

Ecosistemas Digitales no se hace responsable por cualquier negligencia o mal uso de las Soluciones por parte del Cliente y/o Usuario o de cualquier modificación o hurto de información del Usuario en caso de que dicha información sea transmitida a Ecosistemas Digitales a través de sistemas ajenos a los ofrecidos por éste.

Igualmente, Ecosistemas Digitales no se hace responsable por la falta de correcciones o actualizaciones a las Soluciones que hayan sido recomendadas al Cliente y/o Usuario, o las correcciones o actualizaciones realizadas por el Usuario que no hayan sido recomendadas por Ecosistemas Digitales.

SEGURIDAD INFORMÁTICA

Ecosistemas Digitales cuenta con la infraestructura tecnológica de hardware, software, y personal técnico especializado para garantizar la disponibilidad de las Soluciones Digitales y administra la seguridad de cada portal de Usuario controlando la totalidad de las acciones unitarias realizadas por cada Cliente y/o Usuario de las Soluciones Digitales.

Igualmente, Ecosistemas Digitales realiza respaldos de información incrementales periódicos, permite activar la caducidad de la sesión del Cliente por un tiempo de inactividad determinado, y utiliza estándares de seguridad informativa para controlar y evitar pérdida de información, tales como la conservación del registro de datos en las Soluciones y en la Plataforma para evitar pérdidas de información involuntarias o mitigar los riesgos de eliminación de datos voluntarios; las eliminaciones de datos son inaccesibles al Cliente y/o Usuario por lo que sólo un administrador de la Plataforma podría recuperar dicho acceso en caso de que sea estrictamente necesario. Todas las Soluciones Digitales cuentan con certificación ISO 27001 en seguridad de la información de las cual es titular el proveedor tecnológico, sea Ecosistemas Digitales directamente o un tercero que contrate para el efecto.

Ecosistemas Digitales no responderá por el contenido de la información transmitida por el Cliente y/o Usuario en las Soluciones Digitales, ni por los fraudes o ataques cibernéticos que sufra el Cliente y/o Usuario derivados de una inadecuada implementación de las prácticas de seguridad informadas por Ecosistemas Digitales, o del uso indebido de las credenciales de acceso entregadas.

LÍMITE DE RESPONSABILIDAD

De acuerdo con lo estipulado en el Contrato de Prestación de Servicios, el Cliente y/o Usuario reconoce y acepta que las obligaciones de Ecosistemas Digitales son de medio y no de resultado y, por ende, se limitan a poner a disposición del Cliente y/o Usuario la Plataforma para el acceso y uso de las Soluciones Digitales y Servicios Auxiliares. La responsabilidad de Ecosistemas Digitales estará limitada según lo establecido en el Contrato de Prestación de Servicios y en el actual Términos y Condiciones.

CONFIRMING

Los términos y condiciones que se presentan a continuación, según sean modificados de tiempo en tiempo (los “términos y condiciones”) regulan el acceso, navegación y uso, desde cualquier lugar del Territorio, de la plataforma CDP y DITO (las “Plataformas”) para la intermediación del servicio de confirming (en adelante “CDP Confirming”) por parte de Ecosistemas Digitales.

Al ingresar, navegar y utilizar la funcionalidad de CDP Confirming, usted declara que tiene la mayoría de edad y capacidad jurídica para contratar, obligarse y realizar las operaciones habilitadas en las Plataformas, y además acepta haber leído cuidadosamente, entendido y estar de acuerdo con estos términos y condiciones, los cuales constituyen un documento legalmente vinculante entre usted y Ecosistemas Digitales.

Al acceder a la Plataformas, declara y acepta que este acceso es realizado por usted, así como las transacciones u operaciones que se realicen con su contraseña personal e intransferible. Al aceptar este documento, acepta que has leído cuidadosamente estos términos y condiciones y manifiestas tu aceptación expresa sobre el uso de medios electrónicos, de conformidad con lo previsto en la Ley 527 de 1999, en la medida que los mensajes de datos que se generan envían o reciben y almacenan a través de la plataforma, cumplen las exigencias de autenticidad, integridad, disponibilidad de la información y demás exigidas por las normas aplicables.

Ecosistemas Digitales podrá terminar en cualquier momento estos términos y condiciones, dejar de ofrecer la Plataforma o impedir el acceso y uso de éstas, anunciándolo a usted con una antelación de 30 días calendario a través de los canales de comunicación establecidos. Asimismo, Ecosistemas Digitales podrá suspender o terminar, de inmediato y sin previo aviso, su acceso a la Plataforma en caso de detectar el incumplimiento a los presentes términos y condiciones.

1. Definiciones.
   Para efectos de los presentes términos y condiciones, los términos definidos a continuación tendrán el significado que aquí se describe, independientemente de que se mencionen en mayúsculas fijas o simplemente con mayúscula inicial:
   1. Confirming:es una modalidad de factoring que permite gestionar los pagos de una empresa a sus proveedores con el objetivo de que puedan obtener liquidez. Mediante este producto, el Pagador realiza la Aceptación de los Documentos Crediticios en las Plataformas y los proveedores transfieren los derechos crediticios al Factor para recibir los pagos directamente de este.
   2. Usuarios:todo aquel que use o participe con la plataforma.
   3. Usuario/Cliente o Pagador:es el pagador, la persona natural o jurídica que adquiere bienes o servicios de sus proveedores y es quien realiza las aceptaciones.
   4. Usuario/Proveedor o Proveedor:es el proveedor, persona natural o jurídica que vende bienes o servicios a sus pagadores. Es quien le transfiere derechos de crédito o Documentos Crediticios para el pago de los mismos y a quien el Usuario/Cliente puede afiliar para colaborar/compartir sus Documentos Crediticios a través de la plataforma DITO.
   5. Aceptación:manifestación realizada por el pagador respecto a que ha aceptado pagar al Factor los Documentos Crediticios emitidos por su proveedor, una vez este último los transfiera a favor del Factor.
   6. Cotización:oferta de compra que realiza el Factor sobre los Documentos Crediticios.
   7. Documento Crediticio:títulos que incorporan derechos de crédito vigentes, claros, ciertos y exigibles, expedidos por el proveedor a cargo de un pagador, entre los que se encuentran facturas de venta que pueden tener o no la calidad de título valor.
   8. Factor:es el comprador, quien adquiere los derechos de crédito contenidos en los Documentos Crediticios aceptados por los pagadores, a través de la cesión o endoso de los mismos por parte de los proveedores.
   9. Tasa de descuento:Es el valor que cobrar al Factor por el pago de los Documentos Crediticios.
   10. Plataforma:plataforma CDP de Ecosistemas Digitales para la intermediación del servicio de confirming.
   11. Plataformas:CDP y DITO.

2. Servicio ofrecido en las Plataformas CDP y DITO para el servicio de Confirming.
   En Ecosistemas Digitales a través de las plataformas llamadas CDP y DITO realizamos, entre otras actividades, la conexión entre dos o más participantes de nuestras Plataformas (los “Usuarios”), con el fin de facilitar la adquisición o compra de los Documentos Crediticios expedidos por un Proveedor a cargo de un Pagador. Por este motivo lo que hacemos es facilitar el contacto entre estas partes, sin entrar a administrar los recursos de la operación, ni intervenir en las cotizaciones para la adquisición de los Documentos Crediticios realizadas por el Factor.
3. Aceptación de los términos y condiciones de uso de las Plataformas para el servicio de confirming.
   Al navegar por las Plataformas, requerimos de su revisión detenida y la aceptación de los términos y condiciones a efectos de poder acceder a la funcionalidad de CDP Confirming que se encuentra en estas y hacer eso de las mismas. Si no está de acuerdo con la totalidad o parte de los presentes términos y condiciones, no podrás acceder a los servicios prestados a través de las Plataformas, ni adquirir los productos ofrecidos a través de estas, por lo cual usted se obliga a abstenerse de hacer uso de esta funcionalidad de las Plataformas inmediatamente, sin perjuicio de que en caso de que tenga productos y/o servicios vigentes con nosotros, éstos puedan subsistir.

Al aceptar estos términos y condiciones se compromete a notificar inmediatamente a Ecosistemas Digitales de cualquier cambio en la información suministrada en el proceso de registro o durante la relación contractual con nosotros.

4. Declaraciones.
   Al generar o recibir su usuario y contraseña para acceder a las Plataformas y a CDP Confirming, además de aceptar y comprometerse al cumplimiento de estos términos y condiciones, usted declara que:
5. Cuenta con la capacidad legal para adherirse a estos términos y condiciones, actuando en nombre propio o representado por alguna persona capaz.
6. Que el Proveedor (el “Usuario/Proveedor”) cuenta con la capacidad, autorización y plenas facultades para transferir los Documentos Crediticios al factor/comprador (el “Factor”).
7. Que quien realiza las aceptaciones por parte del Pagador (el “Usuario/Cliente”) dentro de la Plataforma es la persona autorizada y con plenas facultades para ello. Se entenderá que la relación de Documentos Crediticios que el Pagador o Proveedor ponga a disposición de la Plataforma, y esta última, ponga a disposición del Factor, han sido irrevocablemente aceptados por el pagador, no podrán ser afectados por notas crédito, devoluciones de mercancía, disputa o hecho alguno que pudiera condicionar total o parcialmente el pago al Factor.
8. Reconoce que resolverá directamente con su Proveedor o Pagador, dependiendo del inconveniente, cualquier disputa comercial o diferencia que llegare a presentarse sobre el negocio que da origen a los derechos de crédito contenido en los Documentos Crediticios objeto de las operaciones de confirming, devoluciones de mercancías, notas crédito/débito, reclamaciones por los bienes o servicios prestados, etc. Ha conocido, entendido y acepta la Política de Tratamiento de Datos Personales de Ecosistemas Digitales.
9. Los ingresos y bienes que posee no provienen de ninguna actividad ilícita de las contempladas en el Código Penal Colombiano. En consecuencia, declara que los ingresos o bienes están ligados al desarrollo normal de actividades lícitas propias de la ocupación u objeto social y que no tiene vínculos con personas naturales o jurídicas que se encuentren vinculadas con delitos de ningún tipo.
10. Que la información que suministró a Ecosistemas Digitales es veraz y verificable, y se obliga a actualizarla anualmente o en un tiempo menor conforme a los procedimientos que para tal efecto tenga establecido Ecosistemas Digitales.
11. Que todos los Usuarios o personas autorizadas para efectuar operaciones de confirming dentro de la Plataforma cuentan y/o se les otorga mediante el presente documento las facultades necesarias para realizar entre otros, los siguientes actos, operaciones o transacciones: transferir los Documentos Crediticios, entregar información para realizar operaciones y efectuar la aceptación de las cotizaciones realizadas por el Factor.
12. Ha accedido voluntariamente a realizar operaciones de confirming con el comprador a través de la Plataforma y se le ha informado el nombre del comprador interesado en adquirir los Documentos Crediticios, la tasa de descuento, los costos asociados a cualquiera de las modalidades seleccionadas para transferir tales documentos y demás información relevante sobre las operaciones.
13. Autorización para el tratamiento de los datos personales.
    Los Usuarios autorizan de manera libre, expresa y voluntaria a Ecosistemas Digitales, a sus cesionarios o de otra forma a los titulares futuros de sus derechos, para realizar tratamiento de sus datos personales, según las modalidades, tipos de datos y finalidades del tratamiento y demás reglas previstas en la Política de Tratamiento de Datos Personales de la Plataforma que puedes consultar aquí https://edncolombia.com/politica-de-tratamiento-de-los-datos-personales-2/.

Los Usuarios tienen los derechos previstos en las normas aplicables y en la Política de Tratamiento de Datos Personales de la Plataforma. En cualquier momento los Usuarios podrán ejercer sus derechos, y particularmente revocar la autorización prestada de conformidad con la Política de Tratamiento de Datos personales. En todo caso, el diligenciamiento de cualquier formulario existente en la Plataforma implica la autorización a Ecosistemas Digitales para realizar el tratamiento de los datos facilitados y generados por Los Usuarios en la utilización de la Plataforma.  

6. Derechos y obligaciones de los Usuarios.
   Sin perjuicio de los demás derechos y obligaciones que se establecen en estos términos y condiciones, en las estipulaciones de cada uno de los contratos de productos y/o servicios y en la normativa aplicable, los Usuarios tendrán los siguientes derechos y obligaciones:

Derechos

1. Acceso para el uso de las Plataformas de las personas que estén autorizadas para ello.
2. Protección de sus datos personales.
3. Soporte de acuerdo con los estándares de la Plataforma.

Obligaciones

1. Cumplir con las condiciones y requisitos necesarios para usar las Plataformas.
2. Informarse adecuadamente acerca de las funcionalidades, módulos y condiciones de uso de los servicios ofrecidos en la Plataforma.
3. Suministrar información completa, transparente, vigente, precisa, veraz, oportuna y verificable en los formularios y solicitudes que adelante en las Plataformas, evitando omisiones o acciones que perjudiquen tales atributos de la información.
4. Disponer de los equipos y programas adecuados que le permitan utilizar las Plataformas y acceder a sus Servicios.
5. No ceder o transferir su cuenta de usuario a otra persona o entidad, así como abstenerse de falsificar la identidad haciéndose pasar por otra persona.
6. Actuar con la máxima diligencia, adoptar las precauciones necesarias y cumplir con las recomendaciones de seguridad formuladas de tiempo en tiempo por Ecosistemas Digitales y por las autoridades, para evitar que terceros no autorizados tengan acceso a las Plataformas, a su información de vinculación y/o nombre de usuario, y por ende a su perfil en las Plataformas y a los correspondientes productos y/o servicios. Los Usuarios son los únicos responsables del uso dado a sus credenciales de acceso a las Plataformas, así como de cualquier acción realizada usando tales datos. En caso de detectar una brecha de seguridad o un uso no autorizado de los mismos, debe informarlo a Ecosistemas Digitales inmediatamente.
7. No ceder sus derechos y compromisos asumidos como Usuarios de las Plataformas.
8. Abstenerse de hacer cualquier tipo de copia de las Plataformas, así como de realizar ingeniería inversa, desensamblar, descompilar o utilizar la plataforma para la creación de un software derivado o transferir el software a cualquier tercero por cualquier vía y/o cualquier otra acción u omisión constitutiva de violación de la propiedad intelectual de ésta.
9. Mantener actualizada la información que suministre como Usuario en las Plataformas.
10. No usar las Plataformas para realizar actividades ilegales.
11. Garantizar que quien hace uso de las Plataforma sea para transferir los Documentos Crediticios al Factor o para aceptar las cotizaciones solicitadas, sea la persona autorizada, con plenas facultades para ello y asumir las obligaciones derivadas de estas operaciones.
12. Conocer y aceptar los términos y condiciones, así como las Políticas de Tratamiento de Datos Personales de las Plataformas.
13. Realizar la firma por parte del representante legal de los Usuarios, que esté facultado para ello, del contrato de mandato generado en las Plataformas o enviado por cualquier otro medio, para que Ecosistemas Digitales genere, valide, registre, transmita o consulte en el RADIAN cualquier evento relacionado con las Documentos Crediticios.
14. Realizar la habilitación dentro en la Dirección de Impuestos y Aduanas Nacionales – DIAN de Ecosistemas Digitales como Proveedor Tecnológico.
15. Informar inmediatamente a Ecosistemas Digitales cualquier anomalía que identifique y considere puede poner en riesgo el funcionamiento de las Plataformas.

7. Derechos, facultades y obligaciones de las Plataformas.
   1. Entregar a los Usuarios información completa, clara, suficiente y actualizada con relación a la funcionalidad de CDP Confirming ofrecida en las Plataformas.
   2. Cuando aplique y sea requerido capacitar a los Usuarios en la forma de uso de las Plataformas.
   3. Cumplir con los servicios ofrecidos en las Plataformas.
   4. Entregar a los Usuarios el acceso a las Plataformas y a los servicios requeridos por estos.
   5. Suspender el servicio cuando sea incumplida alguna obligación por parte de los Usuarios o cuando o sea necesario debido a los límites de capacidad, de la seguridad o de la integridad de los servidores, para realizar tareas de reparación, mantenimiento, y actualización que permitan el funcionamiento de las Plataformas, o para la implementación de nuevas herramientas o servicios. Las Plataformas procurará minimizar la frecuencia y la duración de cada una de estas suspensiones y restricciones de acceso y notificará oportunamente al Usuario/Cliente la programación de estas.
8. Responsabilidad de las Plataformas respecto a los Usuarios.

Las plataformas no garantizan las obligaciones derivadas del negocio que surja entre las partes con motivo de la compraventa de los Documentos Crediticios.

Las decisiones que tomen los Usuarios frente a los servicios de Confirming intermediados a través de las Plataformas, serán tomadas con base en su propia evaluación autónoma e independiente, por lo tanto, Ecosistemas Digitales no asumirá ninguna responsabilidad frente a los Usuarios, ni frente a terceros, por las consecuencias que ello implique, incluyendo pero sin limitarse a decisiones que afecten su flujo de caja, transacciones desde cuentas propias, errores en cuentas de destino, error en la digitación de valores, negociación de facturas, tasa de descuento y demás operaciones realizadas  a través de las Plataformas. 

Ecosistemas Digitales no responderá por el contenido de la información ingresada, gestionada y/o transmitida por los Usuarios en las Plataformas, ni por los fraudes, hurto de contraseñas, phishing, suplantación de identidad, hackeo de datos o cualquier otro ataque de carácter cibernético que sufran cuando sean derivados de una inadecuada implementación de prácticas adecuadas de seguridad o del uso indebido de las contraseñas y datos de ingreso utilizadas.

Ecosistemas Digitales procurará que la Plataforma funcione adecuadamente, pero no garantiza que la misma siempre esté disponible o que funcionen ininterrumpidamente o libre de errores.

9. Firma de documentación.
   Los documentos serán firmados de manera electrónica en concordancia con la plena validez otorgada por la norma vigente a la firma electrónica. Todo documento y/o contrato que se genere, así como cada operación que se adelante en la plataforma y que requiera de la autorización, validación y firma por parte de los Usuarios, se sustituirá para todos los efectos a través de la firma electrónica por medio de las herramientas que las Plataformas ofrezcan a los Usuarios y tendrá todos sus efectos jurídicos vinculantes.
10. Criterios para la vinculación y desvinculación de usuarios.
    Para la vinculación de un nuevo Usuario/Cliente a la Plataforma se suscribirá previamente un contrato donde se pactan los servicios y las condiciones de los servicios que usará dentro de esta y Ecosistemas Digitales realizará la validación de la información solicitada al momento de vincular al Usuario/Cliente y que el mismo no se encuentre vinculado con actividades en contra de la ley.  

El Usuario/Cliente puede realizar la afiliación de su Usuario/Proveedor a CDP Confirming para colaborar/compartir sus Documentos Crediticios a través de la plataforma DITO. Una vez el Usuario/Proveedor no desee colaborar más, puede dejar de usar la plataforma o el Usuario/Cliente pude a través de la Plataforma CDP inactivar al Usuario. Sin embargo, todas aquellas obligaciones que adquiera por la transferencia de los Documentos Crediticios se mantendrán vigentes hasta el pago por parte del Usuario/Cliente o Pagador.

Si el Usuario/Cliente no desea usar más la plataforma, puede notificar a Ecosistemas Digitales quien analizará las razones de desvinculación, si finalmente el Usuario/Cliente se desvincula, se procederá a inactivar su cuenta y no podrá hacer uso esta.

11. Reglas generales para el funcionamiento y operación de CDP Confirming dentro de las Plataformas.
    1. El Usuario/Cliente registrado dentro de la plataforma CDP podrá ingresar y cargar facturas y emitir los eventos RADIAN a todas aquellas facturas que considere necesarias para la operación.
    2. El Usuario/Cliente que tengan los permisos respectivos para operar CDP Confirming dentro de la Plataforma, podrá:

• Generar campañas de comunicación para la afiliación del Usuario/Proveedor y activar la relación de Confirming con estos.
• En CDP Confirming podrá realizar cotizaciones con el Factor que encuentre dentro de la plataforma.
• Podrá realizar cotizaciones diarias, en días hábiles y en un horario de 7:00 am a 4:45 pm.
• Podrá visualizar toda la línea del proceso.
  1. El Usuario/Proveedor que tenga los permisos respectivos para operar CDP Confirming dentro de la Plataforma, podrá:
• Aceptar cotizaciones, que generarán la cesión de los Documentos Crediticos al Factor.
• Rechazar las cotizaciones.
• Cargar los Documentos Crediticios a la plataforma DITO.
• Podrá visualizar toda la línea del proceso.
  1. Cuando el Usuario/Proveedor acepte una cotización después de las 10 – 11 am y la cuenta registrada sea diferente a Bancolombia, el desembolso lo verá reflejado en su cuenta al día siguiente.
  2. Las operaciones de confirming se perfeccionan con el desembolso, por lo tanto, en caso de que el Factor no desembolse dentro de las 48 horas siguientes a la aceptación de la cotización, la operación se entenderá rechazada.
  3. Adicionalmente los Usuarios cuentan con un manual de uso que contienen una guía para la realización de operaciones de confirming dentro de la plataforma.
  4. Propiedad Intelectual.
     Todo contenido de la Plataforma, incluyendo el texto, software, imágenes, funciones, marcas y logotipos que se encuentren en ella, son propiedad exclusiva de Ecosistemas Digitales. Por lo anterior, el Usuario reconoce que no podrá divulgar, publicar, reproducir, distribuir, transformar o disponer de ningún modo, de la propiedad intelectual de la Plataforma, ni cualquier material que sea resultado de la propiedad intelectual de esta.

Ecosistemas Digitales no concede ninguna autorización de uso de ninguna clase sobre la propiedad industrial e intelectual, por lo que el uso que se concede al Usuario sobre la Plataforma no implica el otorgamiento de una licencia sobre su tecnología o cualquier contenido de esta.

La utilización no autorizada e indebida de la Plataforma que vulneren los derechos de propiedad intelectual existentes sobre esta dará lugar a las consecuencias que establezca la ley.

El Usuario acepta notificar con 30 días hábiles de antelación a Ecosistemas Digitales y/o Plataforma, de manera escrita, cualquier reclamo o queja concerniente o relativa a esta y a los servicios provistos en la misma, antes de comenzar cualquier acción legal contra.

13. Solución de Controversias.
    Estos términos y condiciones se rigen por la ley local de Colombia. Toda controversia se solucionará entre los Usuarios y Ecosistemas Digitales a través del canal de comunicación directo a soporte, donde los Usuarios deben reportar cualquier novedad con las Plataformas es a través del correo electrónico soporte@st.edncolombia.com.

Si no se logra una solución conjunta, la controversia será sometida a conciliación previo a la interposición de acciones jurisdiccionales, en caso tal de que este mecanismo no prospere, las controversias que persistan se resolverán por los tribunales nacionales ordinarios competentes, salvo disposición específica de la norma o el contrato suscrito entre las partes.

14. Modificaciones.
    Ecosistemas Digitales anunciará a través de mensajes dentro de las Plataformas o al correo electrónico registrado por el Usuario todo cambio, modificación, adición o eliminación total o parcial de los términos y condiciones, los cuales se harán efectivos inmediatamente se hagan públicos a través de la Plataforma o el Sitio web de Ecosistemas Digitales. Para continuar usando las Plataformas, los Usuarios deberán aceptar la nueva versión de los términos y condiciones.

Los Usuarios se comprometen a consultar regularmente en las Plataformas la existencia de cambios, si no aceptan cumplir estos o los futuros términos y condiciones, deberán abstenerse de utilizar o acceder la Plataforma o a la funcionalidad de CDP Confirming.

No obstante, en el evento en que los Usuarios ya se encuentren efectivamente vinculados al desarrollo de una determinada operación, está culminará según lo contemplado en el presente documento y le serán aplicables los términos y condiciones vigentes y aceptados al momento de inicio de esta. Una vez finalice la operación, las Plataformas podrán dar por terminada la relación comercial o contractual vigente.

ACCEPTANCE OF THE TERMS AND CONDITIONS

The terms and conditions set forth below, as amended from time to time (the “Terms and Conditions”), govern the access, browsing, and use, from any location within the Territory, of the Digital Solutions and Ancillary Services provided by Digital Ecosystems under the Software as a Service (SaaS) modality.

By entering, browsing, and using the Digital Solutions, as well as the Ancillary Services pursuant to the Service Agreement, you declare that you are of legal age and have the legal capacity to contract and bind yourself, and furthermore accept that you have carefully read, understood, and agreed to these Terms and Conditions, which constitute a legally binding document between you and Digital Ecosystems.

Access to and use of the Digital Solutions implies your acceptance of these Terms and Conditions and, therefore, a commitment to their due compliance. If you do not accept the Terms and Conditions, you may not access the Digital Solutions or the Ancillary Services.

Digital Ecosystems may terminate these Terms and Conditions at any time, cease offering the Solutions, or prevent access to and use thereof, by giving you 30 calendar days’ prior notice through the established communication channels. Furthermore, Digital Ecosystems may suspend or terminate, immediately and without prior notice, your access to the Solutions in the event that a breach of these Terms and Conditions is detected. All of the foregoing shall be in accordance with the Service Agreement.

REPRESENTATIONS AND AUTHORIZATIONS

1. REPRESENTATIONS:

Upon generating or receiving your username and password to access the contracted Digital Solutions, in addition to accepting and committing to comply with these Terms and Conditions, you declare that:

• You possess the legal capacity to adhere to these Terms and Conditions, acting on your own behalf or represented by a legally capable person.
• These Terms and Conditions contain binding obligations for you and Digital Ecosystems and, therefore, their enforcement may be legally demanded.
• You have reviewed, understood, and accept the Personal Data Processing Policy.
• The income and assets you possess do not derive from any illicit activity contemplated under the Criminal Code.
• Consequently, you declare that your income or assets are linked to the normal development of lawful activities inherent to your occupation or corporate purpose.
• The information supplied to Ecosistemas Digitales S.A.S. is true and verifiable, and you undertake to update it annually or within a shorter period in accordance with the procedures established for such purpose by Ecosistemas Digitales S.A.S.
• All Users or persons authorized to perform operations possess and/or are granted by virtue of this document the necessary powers to perform, among others, the following acts, operations, or transactions: administration and application for products or services, preparation of payments, registration of payments, ordering debits from deposit accounts at financial entities with which EDN has alliances, querying information regarding payments made, blocking them, and all other services enabled by EDN.

2. AUTHORIZATIONS:

Upon generating or receiving your username and password to access the contracted Digital Solutions, in addition to accepting and committing to comply with these Terms and Conditions, you grant prior, express, informed, and unequivocal Authorization to EDN to:

• Hold the powers to access and manage the products and/or services detailed herein of which you are the holder, for the purposes of:

1. a) consulting them; b) modifying them; c) performing monetary and non-monetary transactions; d) accepting terms and conditions and/or signing documentation associated with such products and/or services; e) analyzing and sharing with its commercial allies the data provided and transmitted through the contracted solutions and in the documents generated by the CUSTOMER and/or user; data being understood as, but not limited to: numbers, acronyms, values, names, commercial information, tax liabilities, transactions, etc., without prejudice to the provisions of the personal data processing policy. f) Additionally declare that you are aware of the responsibility entailed by this authorization, that it may be revoked and/or updated at any time, and that the information and data learned through this channel are not subject to bank secrecy or enjoy confidentiality by virtue of this authorization.
2. Verify backgrounds of the persons related to the onboarding process and/or the registration process on the platforms and their supports, against binding lists, the list issued by the Office of Foreign Assets Control of the Department of the Treasury of the United States of America (OFAC list), and such other public or private lists or databases listing persons allegedly linked to any activity related to Money Laundering and Terrorism Financing (LA/FT).

PROCESSING OF PERSONAL DATA

By accepting these terms and conditions, THE CUSTOMER expressly, priorly, and unequivocally authorizes Ecosistemas Digitales S.A.S. to process their personal data, directly or through third parties, in accordance with the provisions of the data processing policy; which can be consulted at the following URL: https://edncolombia.com/politica-de-treatment-de-los-datos-personales-2/

AMENDMENT OF THE TERMS AND CONDITIONS

These Terms and Conditions replace any other oral or written agreement—other than the Service Agreement and its annexes—governing access to and use of the Digital Solutions.

Ecosistemas Digitales S.A.S. shall announce through in-app messages within the Solutions or via the email registered by the User any change, modification, addition, or total or partial removal of the Terms and Conditions, which shall become effective immediately upon being made public through the Digital Solutions. To continue using the Digital Solutions, you must accept the new version of the Terms and Conditions.

You undertake to regularly consult the platforms of the Digital Solutions for the existence of changes to the Terms and Conditions. If you do not agree to comply with these or future Terms and Conditions, you must refrain from using or accessing the Digital Solutions.

DEFINITIONS

For the purposes of these Terms and Conditions, when terms appear with their initial letter capitalized, they shall have the meanings set forth below, unless indicated otherwise. Each defined term shall encompass indistinctly both the plural and singular forms and both genders:

API: A set of functions and procedures that allow access to a platform or mobile application (Application Programming Interface).

Mobile Applications: Mean the applications developed to execute via mobile devices to access certain Digital Solutions, which may be downloaded through mobile app stores such as the App Store and Google Play.

Help Center: Electronic documentation of functionalities and tools of the Digital Solutions available to the User on the Platform.

Digital Certificate: Means the data message or record confirming the link between a signatory and their private key.

Trust Certificate: Means an electronic digital fingerprint and an IT mechanism through which the full preservation of information of a data message is obtained, certifying that a data message effectively existed on a certain date and time.

Public Key: Means the public Digital Certificate of the signatory that is verified via the Internet to check authenticity and validity.

Private Key: Means the private certificate of the signatory used to encrypt a data message.

Customer: Means the natural or legal person who has contracted one or more Digital Solutions and Ancillary Services with Ecosistemas Digitales S.A.S. through the Service Agreement, which must be signed prior to the acceptance of these Terms and Conditions.

Connector: Means the software owned by Interfactura installed on the Customer’s equipment to enable a bilateral electronic communication medium, allowing the submission and return of files to Ecosistemas Digitales S.A.S. for secure fiscal stamping, thanks to connection certificates. Once stamped, Ecosistemas Digitales S.A.S. returns said documents with fiscal validity to the Customer through the same medium.

Service Agreement: Means the agreement entered into by the Customer and Ecosistemas Digitales S.A.S. to regulate the commercial and legal terms and conditions for the provision and use of the Digital Solutions and Ancillary Services, including, where applicable, the Service Orders attached thereto.

Personal Data: Means any information linked or capable of being associated with one or several specific or determinable natural persons (first name, last name, identification type and number, cellular number, residential address, profession, among others).

DIAN: Means the National Directorate of Taxes and Customs (Dirección de Impuestos y Aduanas Nacionales), or any entity replacing it or exercising similar activities.

Ecosistemas Digitales or EDN: Means Ecosistemas Digitales S.A.S., a commercial corporation incorporated under Colombian law, domiciled in the city of Medellín and identified with NIT 901.380.553-9; duly authorized by Interfactura to distribute the Digital Solutions and Ancillary Services within the Territory.

Electronic Invoice: Means the document supporting sales transactions of goods and/or services and which operationally takes place through computer systems and/or electronic solutions that allow compliance with the characteristics and conditions established in current regulations regarding issuance, receipt, rejection, and preservation. The issuance of the electronic invoice comprises its generation by the party obligated to invoice and its delivery to the acquirer.

Electronic Signature: Means the set of methods such as codes, passwords, biometric data, or private cryptographic keys that allow the identification of a person in relation to a data message, provided that it is reliable and appropriate for the purposes for which the signature is used, under all circumstances of the case, as well as any relevant agreement.

Habeas Data: Means the right held by all persons to: i) know what information about them is collected in databases; ii) update personal information collected by others and supplement it; iii) rectify information held by other persons so that it matches reality; and iv) request the exclusion of their personal information from databases.

Interfactura: Means Interfactura, S.A.P.I. de C.V., a company incorporated in accordance with the laws of the United Mexican States and identified with federal taxpayer registry number INT-020124-V64.

Guest or User: Means the natural or legal person who is not a Customer but accesses the Digital Solutions via an invitation to collaborate made by the Customer, with a username designated solely and exclusively for them, or who accesses the Digital Solutions through an authorized distributor, according to what the Customer or Distributor has agreed with Ecosistemas Digitales S.A.S. in the Service Agreement.

Electronic Promissory Note: Means a credit-content negotiable instrument created in electronic form pursuant to Law 527 of 1999, containing an unconditional promise to pay a sum of money by the issuer or subscriber in favor of a specific person, within a specific time, and whose circulation is carried out through book-entry annotation.

Platform: Means the web platform developed by Interfactura, licensed and marketed by Ecosistemas Digitales S.A.S. The Platform allows the User to access the Digital Solutions under the Software as a Service (SaaS) modality.

Personal Data Protection Policy: Means the personal data protection policy of Ecosistemas Digitales S.A.S., which can be consulted at the following URL: https://edncolombia.com/politica-de-treatment-de-los-datos-personales-2/

Ancillary Services: Means the set of complementary services offered by Ecosistemas Digitales S.A.S. as part of the Digital Solutions service contracted by the Customer, or as an accessory service to the Digital Solutions. The contracting of Ancillary Services is governed by the provisions of the Service Agreement, and may include: support, service level agreements, implementation, delivery, BPaaS (Business Process as a Service), and consulting.

Digital Solutions: Means the solutions developed by Interfactura, licensed and distributed by Ecosistemas Digitales S.A.S. within the Territory, which may be accessed by the User through the Platforms, by virtue of the Service Agreement entered into between the Customer and Ecosistemas Digitales S.A.S. The Digital Solutions that Ecosistemas Digitales S.A.S. may offer are: Dito, CDC Solution, CDP Solution, Compliance Solution, Analytics Solution, and Financials Solution.

Territory: Means the Republic of Colombia.

Transmission: Means the electronic submission from the Customer to Ecosistemas Digitales S.A.S. of Electronic Invoices and/or documents, issued by their own means or by a third party, so that Ecosistemas Digitales S.A.S., through its electronic means, delivers said files to the specific destination contracted by the Customer.

Web Service: Means the mechanism providing a transport medium to securely send documents to Ecosistemas Digitales S.A.S. with a response in seconds.

WHAT DOES DIGITAL ECOSYSTEMS OFFER?

Ecosistemas Digitales S.A.S. offers Users located within the Territory the possibility of accessing Digital Solutions and Ancillary Services, in accordance with the guidelines established in these Terms and Conditions and the agreements contained in the Service Agreement and its Annexes.

Access to the contracted Digital Solutions shall be carried out through the Platforms provided by Ecosistemas Digitales S.A.S.

WHAT ARE THE DIGITAL SOLUTIONS OFFERED?

Ecosistemas Digitales S.A.S. offers the User the possibility of accessing the following Digital Solutions:

1. Dito

Dito is a Digital Solution that will be available at the time Customers and/or Users are notified, offering functionalities to create and access catalogs of customers, products, branches, profiles and roles, account statements, among others; as well as to issue, cancel, and query Electronic Invoices, capture payments received and income reports, send documents via email from the Platform and/or Application, validate and query documents received via email, integrate addenda, and access electronic collaboration with large corporations through the Transmission of Electronic Invoices and/or documents.

Dito features functionalities classified by their orientation towards customer collaboration and supplier collaboration, as detailed below. In accordance with the contracting of said solution between Ecosistemas Digitales S.A.S. and the Customer, access to functionalities may be granted to guests/Users through a Connector to collaborate with the corresponding scope within the enabled digital ecosystem.

The Customer/User can find more information regarding the functionalities of Dito in the Help Center.

The Customer acquiring Dito expresses its awareness and authorizes Ecosistemas Digitales S.A.S., directly or through a third party duly authorized by the DIAN as a technological provider, to perform the following:

1. Deliver to the DIAN copies of withholdings, other tax certificates, and any other information necessary to fulfill obligations as a technological provider, as well as obligations for generating support documents for acquisitions, issuing support documents for electronic payroll payments, registering events before RADIAN, and any other related matter developed by the DIAN under applicable law.
2. Perform queries and procedures on the DIAN website regarding compliance with tax obligations related to Electronic Invoicing, issuance of support documents for electronic payroll payments, registration of events before RADIAN, and any other related matter developed by the DIAN under applicable law.
3. Perform queries and procedures on the DIAN website for the Customer’s access to its issued and received invoices, the support document for electronic payroll payments, events registered before RADIAN, and any other related matter developed by DIAN.
4. Perform the procedures, acts, and processes necessary within the Digital Solution in order to comply with the applicable provisions of Law 1762 of 2015 and its amending regulations, as well as the Basic Legal Circular (External Circular No. 100-000005 of November 22, 2017) and Circular 100-000016 of December 24, 2020, issued by the Superintendency of Companies, and all other relevant regulations for the prevention of money laundering, terrorism financing, and tax evasion.
5. Provide the self-billing invoice service or similar, interests, payment plans, and documents generated as a result of the commercial relationship between the Customer and its suppliers of goods and/or services.

The Customer who selects to activate notifications to a credit reporting agency accepts and acknowledges that all credits of its debtors will be reported. The Customer may revoke said authorization at any time, provided that no legal or contractual obligation prevents it. The Customer must possess the necessary authorizations to perform these queries and/or reports, as stipulated in Statutory Law 1581 of 2012, being solely responsible for obtaining and retaining proof of authorization.

In accordance with the applicable law, the Customer, in its capacity as a party obligated to Electronically Invoice, to issue electronic payroll payment documents, and/or to perform the registration of events in RADIAN, is solely responsible before the DIAN for the obligations corresponding to it as such.

2.      CDC Solution (Digital Collaboration with Customers)

Digital Collaboration with Customers -CDC- is a Digital Solution available through the website www.https://platform.cdc.origon.cloud/login. It is a comprehensive solution for the issuance, validation, and management of electronic documents required by the DIAN, in accordance with current resolutions and their respective technical annexes, thereby guaranteeing regulatory compliance, information traceability, and operational efficiency in invoicing and documentary support processes.

CDC offers a set of tools and functionalities to manage business processes related to the Customer’s revenue stream, Electronic Invoice issuance, electronic payroll, Support Document in Acquisitions, Electronic Equivalent Documents, issuance of events associated with the invoice, and the entire Factoring process. Additionally, it provides payment methods that facilitate portfolio collection.

Access to the functionalities of the CDC Solution shall be granted to the Customer and/or Users according to the scope established in the Service Agreement entered into between Ecosistemas Digitales and the Customer.

The Customer acquiring the CDC Solution expresses its awareness and authorizes that Ecosistemas Digitales, which is duly enabled by the DIAN as a technological provider, may perform the following:

1. Deliver to the DIAN tax receipts and any other information necessary to fulfill obligations as a technological provider, as well as obligations for generating Electronic Invoices, Support Documents for Acquisitions, issuing Support Documents for Electronic Payroll payments, Electronic Equivalent Documents, registering Events before RADIAN, and any other related matter developed by the DIAN under applicable law.
2. Perform queries and procedures on the DIAN website regarding compliance with tax obligations related to the issuance of Electronic Invoices, Support Documents for Acquisitions, issuance of Support Documents for Electronic Payroll payments, Electronic Equivalent Documents, registration of Events before RADIAN, and any other related matter developed by the DIAN under applicable law.
3. Perform queries and procedures on the DIAN website for the Customer’s access to its issued and received Electronic Invoices, Support Documents for Acquisitions, issuance of Support Documents for Electronic Payroll payments, Electronic Equivalent Documents, registration of Events before RADIAN, and any other related matter developed by the DIAN.
4. Perform the procedures, acts, and processes necessary within the Digital Solution in order to comply with the applicable provisions of Law 1762 of 2015, the Basic Legal Circular (External Circular No. 100-000005 of November 22, 2017), Circular 100-000016 of December 24, 2020, and their amending regulations, as well as all other relevant regulations for the prevention of money laundering, terrorism financing, and tax evasion.
5. Provide the self-billing invoice service or similar and documents generated as a result of the commercial relationship between the Customer and its suppliers of goods and/or services.

The Customer who selects to activate notifications to a credit reporting agency accepts and acknowledges that all credits of its debtors will be reported. The Customer may revoke said authorization at any time, provided that no legal or contractual obligation prevents it. The Customer must possess the necessary authorizations to perform these queries and/or reports, as stipulated in Statutory Law 1581 of 2012, being solely responsible for obtaining and retaining proof of authorization.

In accordance with the applicable law, the Customer, in its capacity as a party obligated to issue Electronic Invoices, to issue Electronic Equivalent Documents, to issue Electronic Payroll payment documents, to issue Support Documents for Acquisitions, and to issue and/or perform the registration of events in RADIAN, is responsible before the DIAN for the obligations corresponding to it as such.

3.      CDP Solution (Digital Collaboration with Suppliers)

Digital Collaboration with Suppliers -CDP- is a Digital Solution that features connectivity via API. This Digital Solution offers a set of tools and functionalities to manage business processes related to the Customer’s expense stream. Additionally, it provides integration with financial institutions and/or banks and payment methods. It also offers supplier verification and integration with financing systems to facilitate access to credit.

Access to the functionalities of the CDP Solution shall be granted to the Customer and/or User according to the scope established in the Service Agreement entered into between Ecosistemas Digitales and the Customer.

The Customer acquiring the CDP Solution expresses its awareness and authorizes that Ecosistemas Digitales, directly or through a third party duly enabled by the DIAN, may perform the following:

1. Deliver to the DIAN tax receipts and any other information necessary to fulfill obligations as a technological provider, as well as obligations for generating Electronic Invoices, Support Documents for Acquisitions, issuing Support Documents for Electronic Payroll payments, Electronic Equivalent Documents, registering Events before RADIAN, and any other related matter developed by the DIAN under applicable law.
2. Perform queries and procedures on the DIAN website regarding compliance with tax obligations related to the issuance of Electronic Invoices, Support Documents for Acquisitions, issuance of Support Documents for Electronic Payroll payments, Electronic Equivalent Documents, registration of Events before RADIAN, and any other related matter developed by the DIAN under applicable law.
3. Perform queries and procedures on the DIAN website for the Customer’s access to its issued and received Electronic Invoices, Support Documents for Acquisitions, issuance of Support Documents for Electronic Payroll payments, Electronic Equivalent Documents, registration of Events before RADIAN, and any other related matter developed by the DIAN.
4. Perform the procedures, acts, and processes necessary within the Digital Solution in order to comply with the applicable provisions of Law 1762 of 2015, the Basic Legal Circular (External Circular No. 100-000005 of November 22, 2017), Circular 100-000016 of December 24, 2020, and their amending regulations, as well as all other relevant regulations for the prevention of money laundering, terrorism financing, and tax evasion.
5. Provide the self-billing invoice service or similar and documents generated as a result of the commercial relationship between the Customer and its suppliers of goods and/or services.

The Customer who selects to activate notifications to a credit reporting agency accepts and acknowledges that all credits of its debtors will be reported. The Customer may revoke said authorization at any time, provided that no legal or contractual obligation prevents it. The Customer must possess the necessary authorizations to perform these queries and/or reports, as stipulated in Statutory Law 1581 of 2012, being solely responsible for obtaining and retaining proof of authorization.

In accordance with the applicable law, the Customer, in its capacity as a party obligated to issue Electronic Invoices, to issue Electronic Equivalent Documents, to issue Electronic Payroll payment documents, to issue Support Documents for Acquisitions, and to issue and/or perform the registration of events in RADIAN, is responsible before the DIAN for the obligations corresponding to it as such.

4.      Compliance Solution

The Compliance Digital Solution features connectivity through API and offers Electronic Invoice certification services, as well as high-volume online validations and services through which are issued and received invoices available on the applicable electronic invoicing platform and the DIAN website are compiled.

Through the Compliance Solution, Electronic Invoices are processed, received, translated, tracked, reported, and certified in standard formats based on current regulations and are returned to the Platform via connector, API, and/or Web service, in the formats defined by law.

Access to the functionalities of the Compliance Solution shall be granted to the Customer according to the scope established in the Service Agreement entered into between Ecosistemas Digitales and the Customer.

5.      Analytics Solution

The Analytics Digital Solution features connectivity through API and offers control panels and performance indicators services that order, classify, and summarize the visualization of information, assisting the Customer’s decision-making process through descriptive, prescriptive, and predictive models.

Through the Analytics Solution, information regarding the Customer’s collaboration with customers and suppliers, as well as the behavior of O2C (Order to Cash) and P2P (Procurement to Pay) cycles, is extracted and expressed to the Customer.

Access to the functionalities of the Analytics Solution shall be granted to the Customer according to the scope established in the Service Agreement entered between Ecosistemas Digitales and the Customer.

6.      Financials Solution

The Financials Digital Solution features connectivity through API. This Digital Solution offers control panels and performance indicators that allow all financial services institutions to manage credit portfolios through electronic means. The Financials Solution also offers remote payment methods.

Access to the functionalities of the Financials Solution shall be granted to the Customer according to the scope established in the Service Agreement entered into between Ecosistemas Digitales and the Customer.

¿HOW TO ACCESS THE DIGITAL SOLUTIONS?

To access the Digital Solutions offered by Ecosistemas Digitales, the following process must be carried out:

1. The Customer must, through any electronic signature mechanism, accept the Service Agreement, which will contain the legal aspects of contracting the Digital Solutions selected by the Customer. In said agreement, the Guests or Users selected by the Customer as collaborators in the Digital Solutions may be incorporated.
2. Ecosistemas Digitales will implement the Digital Solutions and will train the Customer, in the Solutions where training applies, on the access and use thereof in accordance with the provisions of the purchase order(s); subsequently, the Customer will receive or generate the username and password allowing them to access and complete registration on the Platform of the contracted Digital Solutions.
3. The Customer will enter the Platform of the contracted Digital Solution through the electronic signature mechanism, providing the Personal Data requested therein.
4. To enter the Platform of the contracted Digital Solution, the Customer and/or User must accept these Terms and Conditions and authorize Ecosistemas Digitales to process the Personal Data requested during the registration process on the Platform. The collection and use of Personal Data will be carried out in accordance with the terms of the respective authorization, as well as the Data Protection Policy of Ecosistemas Digitales, which can be consulted at the following URL: https://edncolombia.com/politica-de-tratamiento-de-los-datos-personales-2/.
5. All Personal Data provided may be modified or updated at any time through the Platform.
6. After completing registration on the Platform, the Customer and/or User may use the Digital Solution according to the conditions of use established in these Terms and Conditions, the Service Agreement, or any attached document.

COMMITMENTS OF THE PARTIES

Commitments of the Customer and/or User:

By accessing the Platforms and utilizing the Digital Solutions, you, in your capacity as Customer or Guest/user, undertake to adhere to the following commitments as applicable to you, which will ensure the proper functioning of the Platforms and the Digital Solutions, as well as enhance the User experience thereof:

1. To be adequately informed about the functionalities and conditions of use of Digital Solutions to be acquired through the Service Agreement and to carry out the relevant training for their use.
2. Carefully follow the instructions for use of the Contracted Digital Solution, including reading, understanding, and accepting these Terms and Conditions, as well as the representations contained herein.
3. Have the equipment and software necessary to use the contracted Digital Solutions.
4. Deliver complete, real, and updated information when requested by Ecosistemas Digitales.
5. Not assign or transfer their user account to another person or entity, as well as refrain from falsifying identity by impersonating another person.
6. Maintain any information related to the access credentials to the Platform (username and password) in a confidential and secure manner, refraining from disclosing such data to third parties, or allowing third parties to use said information. You agree to be responsible for any use given to your access credentials to the Platform of the contracted Digital Solution, as well as for any action performed using such data, and to immediately inform Ecosistemas Digitales of any security breach or unauthorized use of your account that you detect.
7. Refrain from using the Platform or the Digital Solutions to carry its activities that are illegal or contrary to public order, including without limitation, sending offensive, libelous, or threatening communications; illicit access to third-party computer systems; the dissemination of computer viruses or software intended to cause damage or obtain data from computer systems; the concealment or modification of the appearance of the origin of resources or funds.
8. The user accounts delivered to the Customer and/or User or generated by them are intended for personal use. Therefore, it is not permitted to deliver access credentials to the Platforms to third parties, nor to resell, use, copy, monitor, download, or reproduce the content of the Platform or the Digital Solutions.
9. Refrain from removing, modifying, or altering any content of the Platform or the Digital Solutions protected by intellectual property.
10. Refrain from using the Digital Solutions in a manner that could affect their functionality or the ability of other Customers and/or users to use them.
11. Immediately inform Ecosistemas Digitales of any anomaly identified that is considered to pose a risk to the operation of the Digital Solutions.
12. Know and accept the terms and conditions, as well as the personal data processing or habeas data policies of other third-party platforms used to access the Digital Solutions.

Non-compliance with any of the commitments described above or in any other section of these Terms and Conditions will make the Customer and/or User liable for the risks and implications derived from such breaches, without the need for any judicial requirement or formal default notices.

In the event of total or partial termination of the Service Agreement, Ecosistemas Digitales will close the portal created for the Customer in the corresponding Digital Solution, which implies the termination of these Terms and Conditions.

Ecosistemas Digitales may at any time suspend or permanently block access to the portal created for the Customer and/or User in the Digital Solutions when it finds that they have breached any commitment of these Terms and Conditions, the Service Agreement, or that they are using the Platform or the Digital Solutions in a manner harmful to third parties or to Ecosistemas Digitales.

Commitments of Ecosistemas Digitales:

1. Fulfill its obligations acquired under the Service Agreement entered into with the Customer.
2. Deliver complete, clear, sufficient, and updated information to the Customer and/or User regarding the Digital Solutions, their availability, and their method of use.
3. Train the Customer, where applicable, on the method of use of the contracted Digital Solutions to ensure its proper use.
4. Use the User’s Personal Data solely for the purposes established in the Data Protection Policy and the authorization granted by the Customer and/or User for the use of their Personal Data.

LIABILITY OF ECOSISTEMAS DIGITALES

Ecosistemas Digitales will make every effort to ensure that access to the Platforms of the Digital Solutions is uninterrupted and its use has the fewest possible errors. Likewise, it will seek to offer Customers and/or Users the minimum elements that guarantee the correct operation of Digital Solutions.

LIABILITY OF THE CUSTOMER AND/OR USER

In accordance with the applicable law, the Customer, in its capacity as a party obligated to electronically invoice, to generate support documents for acquisitions, to issue electronic payroll payment support documents, to perform the registration of events before RADIAN, and any other related matter developed by the DIAN, is responsible before this entity for the obligations corresponding to it as such. Likewise, the User or Customer is solely responsible for the improper use of the Electronic Signature.

Pursuant to the foregoing, the User or Customer shall hold harmless, defend, indemnify, and reimburse Ecosistemas Digitales, as well as its respective shareholders, directors, officers, employees, agents, advisors, representatives, and parent companies, subsidiaries, and affiliates, with respect to any loss, damage, injury, judgment, fine, penalty, legal liabilities, costs, and expenses (including attorneys’ or professional fees, legal costs and expenses of proceedings, and any other legal expenses) arising from or related to claims, demands, lawsuits, actions, or legal proceedings initiated by third parties based on the breach of their obligations.

LIABILITY REGARDING THE PLATFORM

The Platform is available solely for institutional and non-commercial use. Therefore, it is not permitted to resell, deep-link, use, copy, monitor, display, download, or reproduce the content, information, software, reservations, tickets, or information available on the Platform for any commercial or competitive activity or purpose.

The Platform is provided on an ‘as-is’ basis and as an obligation of means. Ecosistemas Digitales will ensure that the Platform functions properly so that it fulfills its purpose, but it does not guarantee that it will always meet the Customer’s and/or User’s expectations, that it will always be available, or that it will function uninterruptedly or error-free.

Given that due to the nature of the Platform its operation involves the use of the internet, continuous and uninterrupted availability or accessibility may be affected due to errors (manifest and typographical), server interruptions due to temporary and/or partial outages, or due to repairs, updates, and maintenance of the Platform or other reasons.

Additionally, access to the Platform may be temporarily suspended or restricted when necessary due to capacity limits, security, or the integrity of the servers, to perform repair, maintenance, and update tasks allowing the Platform to function, or for the implementation of new tools or services. Ecosistemas Digitales will try, as far as possible, to minimize the frequency and duration of each of these suspensions and access restrictions and will timely notify the User regarding the schedule of interruptions on the Platform.

Events of force majeure or acts of God may also occur that prevent its correct operation, generate service interruptions or communication failures, or produce the corruption of files or the loss or theft of data, for which Ecosistemas Digitales shall not be held liable.

The Customer and/or User acknowledges and accepts that Ecosistemas Digitales is not responsible to them for the following situations:
a) the use given to the Platform for access and use of the Digital Solutions, directly or through third parties, that does not comply with the instructions and recommendations delivered by Ecosistemas Digitales;
b) inconsistencies or lack of updates in the information contained on the Platform, the truthfulness, certainty, and precision of the information, or the integrity of the information once it is integrated into them;
c) The uninterrupted operation of the Platform provided for access to the Digital Solutions;
d) The improper use by the Customer and/or User or the responsible personnel of the access credentials to enter the Platform.

LIABILITY REGARDING THE DIGITAL SOLUTIONS

The Platform allows the Customer and/or User to use the Digital Solutions, making available to them the specific uses of each Digital Solution and the relevant information for each of them as contracted. Ecosistemas Digitales is not responsible for the content of the information or documents transmitted by the Customer and/or User from or to the Digital Solutions.

Ecosistemas Digitales is not responsible for any negligence or misuse of the Solutions by the Customer and/or User or for any modification or theft of the User’s information in the event that such information is transmitted to Ecosistemas Digitales through systems foreign to those offered by it. Likewise, Ecosistemas Digitales is not responsible for the lack of corrections or updates to the Solutions that have been recommended to the Customer and/or User, or for corrections or updates performed by the User that have not been recommended by Ecosistemas Digitales.

CYBERSECURITY / INFORMATION SECURITY

Ecosistemas Digitales has the technological infrastructure of hardware, software, and specialized technical personnel to guarantee the availability of the Digital Solutions and manages the security of each User portal by controlling all individual actions performed by each Customer and/or User of the Digital Solutions.

Likewise, Ecosistemas Digitales performs periodic incremental information backups, allows the activation of the Customer’s session expiration after a certain period of inactivity, and uses information security standards to control and prevent information loss, such as preserving the data log in the Solutions and on the Platform to prevent involuntary information loss or mitigate the risks of voluntary data deletion; data deletions are inaccessible to the Customer and/or User, meaning only a Platform administrator could recover such access if strictly necessary.

All Digital Solutions have ISO 27001 certification in information security held by the technological provider, whether Ecosistemas Digitales directly or a third party contracted for that purpose.

Ecosistemas Digitales shall not be liable for the content of the information transmitted by the Customer and/or User through the Digital Solutions, or for cyber fraud or attacks suffered by the Customer and/or User as a result of inadequate implementation of the security practices communicated by Ecosistemas Digitales or improper use of the access credentials provided.

LIMITATION OF LIABILITY

In accordance with the provisions of the Service Agreement, the Customer and/or User acknowledges and accepts that the obligations of Ecosistemas Digitales are of means and not of results, and therefore, are limited to making the Platform available to the Customer and/or User for the access and use of the Digital Solutions and Ancillary Services. The liability of Ecosistemas Digitales will be limited as established in the Service Agreement and in these current Terms and Conditions.

CONFIRMING

The terms and conditions presented below, as they may be amended from time to time (the “Terms and Conditions”), regulate the access, browsing, and use, from any location within the Territory, of the CDP and DITO platforms (the “Platforms”) for the intermediation of the confirming service (hereinafter “CDP Confirming”) provided by Ecosistemas Digitales.

By entering, browsing, and using the CDP Confirming functionality, you declare that you are of legal age and have the legal capacity to contract, bind yourself, and perform the operations enabled on the Platforms. Furthermore, you accept that you have carefully read, understood, and agreed to these Terms and Conditions, which constitute a legally binding document between you and Ecosistemas Digitales.

By accessing the Platforms, you declare and accept that such access is performed by you, as well as any transactions or operations carried out using your personal and non-transferable password.

By accepting this document, you agree that you have carefully read these Terms and Conditions and express your explicit acceptance of the use of electronic means, pursuant to the provisions of Law 527 of 1999, to the extent that the data messages generated, sent, received, and stored through the platform comply with the requirements of authenticity, integrity, availability of information, and all others demanded by the applicable regulations.

Ecosistemas Digitales may terminate these Terms and Conditions at any time, cease offering the Platform, or block access and use thereof, by giving you 30 calendar days’ prior notice through the established communication channels. Likewise, Ecosistemas Digitales may suspend or terminate, immediately and without prior notice, your access to the Platform in the event that a breach of these Terms and Conditions is detected.

1. Definitions

For the purposes of these Terms and Conditions, the terms defined below shall have the meaning described herein, regardless of whether they are mentioned in full capital letters or simply with an initial capital letter:

1. Confirming: Is a modality of factoring that allows managing a company’s payments to its suppliers so that they can obtain liquidity. Through this product, the Payer performs the Acceptance of the Credit Documents on the Platforms, and the suppliers transfer the credit rights to the Factor in order to receive payments directly from the latter.
2. Users: Anyone who uses or participates within the platform.
3. User/Client or Payer: Is the payer, the natural or legal person who acquires goods or services from their suppliers and who carries out the acceptances.
4. User/Supplier or Supplier: Is the supplier, a natural or legal person who sells goods or services to their payers. This is the party that transfers credit rights or Credit Documents for the payment thereof and whom the User/Client may affiliate to collaborate/share their Credit Documents through the DITO platform.
5. Acceptance: Statement made by the payer expressing that it has agreed to pay the Factor the Credit Documents issued by its supplier, once the latter transfers them in favor of the Factor.
6. Quote: Purchase offer made by the Factor on the Credit Documents.
7. Credit Document: Securities incorporating credit rights that are current, clear, certain, and enforceable, issued by the supplier to be charged to a payer, including sales invoices that may or may not have the status of a negotiable instrument (título valor).
8. Factor: Is the buyer, who acquires the credit rights contained in the Credit Documents accepted by the payers, through the assignment or endorsement thereof by the suppliers.
9. Discount Rate: Is the value charged by the Factor for the payment of the Credit Documents.
10. Platform: Ecosistemas Digitales’ CDP platform for the intermediation of the confirming service.
11. Platforms: CDP and DITO.
12. Service Offered on the CDP and DITO Platforms for the Confirming Service

At Ecosistemas Digitales, through the platforms called CDP and DITO, we perform, among other activities, the connection between two or more participants of our Platforms (the “Users”), in order to facilitate the acquisition or purchase of Credit Documents issued by a Supplier to be charged to a Payer.

For this reason, our role is to facilitate contact between these parties, without managing the funds of the operation, nor intervening in the quotes made by the Factor for the acquisition of the Credit Documents.

3. Acceptance of the Terms and Conditions of Use of the Platforms for the Confirming Service

When browsing the Platforms, we require your careful review and acceptance of the Terms and Conditions in order to access the CDP Confirming functionality located therein and make use of them.

If you do not agree with all or part of these Terms and Conditions, you may not access the services provided through the Platforms, nor acquire the products offered through them; therefore, you bind yourself to refrain from making use of this functionality of the Platforms immediately, without prejudice to the fact that if you have current products and/or services with us, these may subsist.

By accepting these Terms and Conditions, you commit to immediately notify Ecosistemas Digitales of any change in the information provided during the registration process or during the contractual relationship with us.

4. Declarations

Upon generating or receiving your username and password to access the Platforms and CDP Confirming, in addition to accepting and committing to comply with these Terms and Conditions, you declare that:

1. You possess the legal capacity to adhere to these Terms and Conditions, acting on your own behalf or represented by a capable person.
2. The Supplier (the “User/Supplier”) has the capacity, authorization, and full powers to transfer the Credit Documents to the factor/buyer (the “Factor”).
3. The person performing the acceptances on behalf of the Payer (the “User/Client”) within the Platform is duly authorized and holds full powers to do so. It shall be understood that the list of Credit Documents made available to the Platform by the Payer or Supplier, and subsequently made available to the Factor by the Platform, has been irrevocably accepted by the payer, and cannot be affected by credit notes, merchandise returns, disputes, or any event that could condition total or partial payment to the Factor.
4. You acknowledge that you will resolve directly with your Supplier or Payer, depending on the issue, any commercial dispute or difference that may arise regarding the business giving rise to the credit rights contained in the Credit Documents subject to the confirming operations, merchandise returns, credit/debit notes, claims for goods or services provided, etc. You have known, understood, and accept the Personal Data Processing Policy of Ecosistemas Digitales.
5. The income and assets you possess do not originate from any illicit activity contemplated in the Colombian Penal Code. Consequently, you declare that your income or assets are linked to the normal development of lawful activities proper to your occupation or corporate purpose and that you have no links with natural or legal people associated with crimes of any kind.
6. The information supplied to Ecosistemas Digitales is true and verifiable, and you bind yourself to update it annually or within a shorter period in accordance with the procedures established by Ecosistemas Digitales for such purpose.
7. All Users or persons authorized to execute confirming operations within the Platform possess and/or are granted by virtue of this document the necessary powers to perform, among others, the following acts, operations, or transactions: transfer Credit Documents, deliver information to execute operations, and carry out the acceptance of the quotes made by the Factor.
8. You have voluntarily accessed to perform confirming operations with the buyer through the Platform and have been informed of the name of the buyer interested in acquiring the Credit Documents, the discount rate, the costs associated with any of the selected modalities to transfer such documents, and other relevant information regarding the operations.
9. Authorization for the Processing of Personal Data

The Users freely, expressly, and voluntarily authorize Ecosistemas Digitales, its assignees, or future holders of its rights, to process their personal data, according to the modalities, types of data, and purposes of processing, as well as other rules provided in the Platform’s Personal Data Processing Policy, which can be consulted here: https://edncolombia.com/politica-de-tratamiento-de-los-datos-personales-2/.

Users possess the rights provided under applicable regulations and the Platform’s Personal Data Processing Policy. At any time, Users may exercise their rights, and particularly revoke the authorization granted, in accordance with the Personal Data Processing Policy.

In any case, filling out any existing form on the Platform implies granting authorization to Ecosistemas Digitales to process the data provided and generated by the Users during the utilization of the Platform.

6. Rights and Obligations of the Users

Without prejudice to the other rights and obligations established in these Terms and Conditions, in the stipulations of each of the product and/or service contracts, and in the applicable regulations, Users shall have the following rights and obligations:

3. Protection of their personal data.
4. Support in accordance with the Platform’s standards.

6. Comply with the conditions and requirements necessary to use the Platforms.
7. Be adequately informed regarding the functionalities, modules, and conditions of use of the services offered on the Platform.
8. Supply complete, transparent, current, accurate, true, timely, and verifiable information in the forms and requests processed on the Platforms, avoiding omissions or actions that harm such attributes of the information.
9. Have the appropriate equipment and programs that allow them to use the Platforms and access their Services.
10. Not assign or transfer their user account to another person or entity, as well as refrain from falsifying identity by impersonating another person.
11. Act with maximum diligence, adopt necessary precautions, and comply with security recommendations formulated from time to time by Ecosistemas Digitales and authorities, to prevent unauthorized third parties from accessing the Platforms, their binding information, and/or username, and therefore their profile on the Platforms and the corresponding products and/or services.Users are solely responsible for the use given to their access credentials to the Platforms, as well as for any action carried out using such data. In case of detecting a security breach or unauthorized use thereof, they must inform Ecosistemas Digitales immediately.
12. Not assign their rights and commitments assumed as Users of the Platforms.
13. Refrain from making any type of copy of the Platforms, as well as performing reverse engineering, disassembling, decompiling, or using the platform for the creation of derived software or transferring the software to any third party by any means and/or any other action or omission constituting a violation of the intellectual property thereof.
14. Maintain the information supplied as a User on the Platforms updated.
15. Not use the Platforms to execute illegal activities.
16. Guarantee that whoever makes use of the Platform to transfer Credit Documents to the Factor or to accept requested quotes is the authorized person, possessing full powers to do so, and assumes the obligations derived from these operations.
17. Know and accept the Terms and Conditions, as well as the Personal Data Processing Policies of the Platforms.
18. Execute the signing by the legal representative of the Users, who must be empowered to do so, of the mandate contract generated on the Platforms or sent by any other means, so that Ecosistemas Digitales can generate, validate, register, transmit, or consult in RADIAN any event related to the Credit Documents.
19. Perform the enablement within the Dirección de Impuestos y Aduanas Nacionales – DIAN of Ecosistemas Digitales as a Technological Provider.
20. Immediately inform Ecosistemas Digitales of any anomaly identified that they consider could put the operation of the Platforms at risk.
21. Rights, Powers, and Obligations of the Platforms
22. Deliver complete, clear, sufficient, and updated information to the Users in relation to the CDP Confirming functionality offered on the Platforms.
23. When applicable and required, train Users on how to use the Platforms.
24. Comply with the services offered on the Platforms.
25. Deliver access to the Platforms and the services required by them to the Users.
26. Suspend the service when any obligation by the Users is breached, or when necessary, due to capacity limits, security, or integrity of the servers, in order to perform repair, maintenance, and update tasks that allow the functioning of the Platforms, or for the implementation of new tools or services. The Platforms will endeavor to minimize the frequency and duration of each of these suspensions and access restrictions and will opportunely notify the User/Client of the scheduling thereof.
27. Liability of the Platforms Regarding the Users

The Platforms do not guarantee the obligations derived from the business arising between the parties by virtue of the purchase and sale of the Credit Documents.

The decisions made by Users regarding the Confirming services intermediated through the Platforms shall be taken based on their own autonomous and independent evaluation; therefore, Ecosistemas Digitales will not assume any liability toward Users, nor toward third parties, for the consequences implied therein, including but not limited to decisions affecting their cash flow, transactions from own accounts, errors in destination accounts, error in entering values, negotiation of invoices, discount rate, and other operations carried out through the Platforms.

Ecosistemas Digitales shall not respond for the content of the information entered, managed, and/or transmitted by Users on the Platforms, nor for fraud, theft of passwords, phishing, identity theft, data hacking, or any other cyberattack they suffer when derived from an inadequate implementation of proper security practices or the undue use of the passwords and entry data used.

Ecosistemas Digitales will endeavor to ensure that the Platform functions properly, but it does not guarantee that it will always be available or that it will function uninterruptedly or error-free.

9. Signing of Documentation

Documents will be signed electronically in accordance with the full validity granted by the current regulation for electronic signatures. Every document and/or contract generated, as well as each operation advanced on the platform that requires authorization, validation, and signature by the Users, shall be substituted for all purposes through electronic signatures by means of the tools that the Platforms offer to the Users and shall have all its legally binding effects.

10. Criteria for the Onboarding and Offboarding of Users

For the onboarding of a new User/Client to the Platform, a contract will be previously signed where the services and the conditions of the services to be used within it are agreed upon, and Ecosistemas Digitales will perform the validation of the information requested at the time of onboarding the User/Client, ensuring that they are not linked to activities contrary to the law.

The User/Client can affiliate their User/Supplier to CDP Confirming to collaborate/share their Credit Documents through the DITO platform. Once the User/Supplier no longer wishes to collaborate, they can cease using the platform, or the User/Client can, through the CDP Platform, inactivate the User. However, all those obligations acquired due to the transfer of Credit Documents shall remain effective until payment is made by the User/Client or Payer.

If the User/Client no longer wishes to use the platform, they may notify Ecosistemas Digitales, who will analyze the reasons for offboarding. If the User/Client is ultimately offboarded, their account will be inactivated, and they will not be able to make use of it.

11. General Rules for the Functioning and Operation of CDP Confirming Within the Platforms
12. The User/Client registered within the CDP platform may enter and load invoices and issue RADIAN events to all those invoices it considers necessary for the operation.
13. The User/Client holding the respective permissions to operate CDP Confirming within the Platform may:

• Generate communication campaigns for the affiliation of the User/Supplier and activate the Confirming relationship with them.
• In CDP Confirming, perform quotes with the Factor found within the platform.
• Perform daily quotes, on business days, and within a schedule from 7:00 am to 4:45 pm.
• Visualize the entire process line.

1. The User/Supplier holding the respective permissions to operate CDP Confirming within the Platform may:

• Accept quotes, which will generate the assignment of the Credit Documents to the Factor.
• Reject quotes.
• Load Credit Documents onto the DITO platform.
• Visualize the entire process line.

1. When the User/Supplier accepts a quote after 10:00 – 11:00 am and the registered account is other than Bancolombia, the disbursement will be reflected in their account on the following day.
2. Confirming operations are perfected upon disbursement; therefore, in the event that the Factor does not disburse within 48 hours following the acceptance of the quote, the operation shall be understood as rejected.
3. Additionally, Users have a user manual containing a guide for executing confirming operations within the platform.
4. Intellectual Property

All content on the Platform, including text, software, images, functions, trademarks, and logos found therein, are the exclusive property of Ecosistemas Digitales. Therefore, the User acknowledges that they may not disclose, publish, reproduce, distribute, transform, or dispose of in any manner, the intellectual property of the Platform, nor any material resulting from the intellectual property thereof.

Ecosistemas Digitales does not grant any authorization of use of any kind over industrial and intellectual property; thus, the use granted to the User over the Platform does not imply the granting of a license over its technology or any content thereof.

The unauthorized and improper utilization of the Platform violating the intellectual property rights existing over it shall give rise to the consequences established by law.

The User agrees to notify Ecosistemas Digitales and/or the Platform in writing 30 business days in advance of any claim or complaint concerning or relating to it and the services provided therein, before commencing any legal action against it.

13. Dispute Resolution

These Terms and Conditions are governed by the local law of Colombia.

Any controversy shall be resolved between the Users and Ecosistemas Digitales through the direct communication channel to support. The email address where Users must report any novelty with the Platforms is soporte@st.edncolombia.com.

If a joint solution is not achieved, the controversy shall be submitted to conciliation prior to filing jurisdictional actions. In the event that this mechanism does not prosper, the controversies that persist shall be resolved by the competent ordinary national courts, unless specific provision is made by regulation or the contract signed between the parties.

14. Amendments

Ecosistemas Digitales will announce through messages within the Platforms or to the email registered by the User any change, modification, addition, or total or partial elimination of the Terms and Conditions, which shall become effective immediately upon being made public through the Platform or the Website of Ecosistemas Digitales.

To continue using the Platforms, Users must accept the new version of the Terms and Conditions.

Users commit to regularly consult the existence of changes on the Platforms; if they do not agree to comply with these or future Terms and Conditions, they must refrain from utilizing or accessing the Platform or the CDP Confirming functionality.

Notwithstanding the foregoing, in the event that Users are already effectively linked to the development of a specific operation, it shall culminate as contemplated in this document, and the Terms and Conditions effective and accepted at the time of commencement thereof shall apply.

Once the operation finalizes, the Platforms may terminate the effective commercial or contractual relationship.
